Role Overview

Acwa China is seeking a Senior Paralegal to join its team in Riyadh, Riyadh. This full-time role is designed to support the Legal – Business Development function by assisting with various support activities, ensuring smooth and effective operations. The Senior Paralegal will contribute to the preparation and finalization of conditions precedent for financial close of projects, draft transaction documents based on company templates, and provide legal research support.

Key Responsibilities

Conduct legal research, including identifying precedents, relevant statutes, legal articles, and other writings, to support senior lawyers.
Perform preliminary work for the preparation of legal opinions issued by external counsel.
Assist in providing legal support for company setup, both within and outside the UAE, ensuring all necessary documentation is prepared and available.
Draft specific components of transactions using Company templates, such as NDAs, TSAs, Powers of Attorney, MOUs, company incorporation documents, and approval documents.
Support bid preparation activities from a legal perspective, collaborating with the Bid Management team and other stakeholders to ensure timely and accurate legal documentation.
Collate and draft conditions precedent for financial close in projects and M&A transactions, utilizing third-party IT platforms like Legatics for documentation management.
Assist the Legal BD team in drafting the foundational elements of agreements and contracts for specific legal transactions.
Coordinate with internal stakeholders, including Business Development, Project Finance, Tax, and Insurance teams, to gather necessary information.
Manage the execution of documents and internal signing formalities through the Company’s Egnyte system and other relevant platforms.
Adhere to all relevant organizational and departmental policies, processes, and procedures.
Contribute to identifying and implementing continuous improvement initiatives.
Perform other related duties as directed.

Qualifications and Experience

0-1 years of relevant experience.
Demonstrated capability to conduct legal research and support legal documentation processes.
Ability to work effectively in a full-time capacity.

Working Relationships

The Senior Paralegal will work closely with the VP – General Counsel (BD), the Deputy General Counsel (IP and Head of Support Services (BD)), and other members of the Legal BD and Support Services (Legal BD) team. Internal collaboration extends to the Business Development Team, Project Finance Team, and other departments as required. External coordination with legal entities will also be necessary.
