Head of Legal

About the Role

Petromin Corporation is seeking a Head of Legal to lead the operational legal function for Petromin Mobility. This full-time position is based in Makkah, specifically covering operations in Jeddah and Makkah. The role involves providing commercially focused legal support across various business areas, including vehicle distribution, manufacturing, fleet solutions, logistics, and commercial operations, while ensuring effective legal risk management and regulatory compliance. The company is currently progressing towards an independent listing.

Key Responsibilities

• Lead the Petromin Mobility legal function, managing its team, external advisers, and legal budget in line with Group Legal standards to provide commercially focused and cost-effective legal support.
• Draft, negotiate, and manage OEM, distributor, importer, and dealership agreements, as well as vehicle supply, sales, distribution, financing, commercial sales, and aftersales agreements to protect the company's commercial position.
• Oversee manufacturing, assembly, and industrial services agreements, procurement of vehicles, components, and equipment, supplier and strategic sourcing agreements, and IP licensing, technical assistance, and technology transfer to secure supply and protect company rights.
• Support fleet management, leasing, rental, and mobility services, alongside logistics, transportation, warehousing, and freight forwarding agreements, to enable business growth with controlled risk.
• Advise on product liability, warranty, recalls, and consumer protection matters to minimize legal exposure and ensure regulatory compliance.
• Manage disputes, litigation, product claims, and regulatory investigations, including oversight of external counsel, to achieve favorable outcomes at controlled cost.
• Advise the People & Culture department and management on employment and labor law matters to ensure compliant people practices and reduce employment disputes.
• Provide corporate governance and company secretarial support to the Board and its committees to ensure sound decision-making and statutory compliance.
• Develop legal policies, contract management processes, and operational compliance frameworks to embed consistent legal risk management across the business.

Performance Measures

Performance in this role will be measured against several key indicators, with specific targets and weights adjusted annually through the performance management cycle in agreement with the line manager. These include:

• Contract review and turnaround time against agreed service levels.
• Share of contracts executed on approved templates and through the contract management process.
• External legal spend versus the approved legal budget.
• Dispute and litigation outcomes, and reduction in legal exposure.
• Absence of material regulatory breaches, penalties, or uncovered legal risks.
• Timely completion of Board, committee, and governance documentation.
• Internal client satisfaction with legal support provided.

Qualifications and Experience

Candidates for the Head of Legal position are required to have a minimum of 10 years of relevant experience in a legal leadership role, preferably within a corporate environment with exposure to vehicle distribution, manufacturing, fleet solutions, or logistics sectors.
