Company Secretary at Tiqmo

Tiqmo is seeking a Company Secretary to join its team in Riyadh, Saudi Arabia. This full-time role involves serving as a key link between the Board of Directors, executive management, and various stakeholders, ensuring effective corporate governance and administrative processes.

Role Overview

The Company Secretary will be responsible for enabling the Board’s governance duties by managing administrative processes, facilitating high-level decision-making, and maintaining corporate records. This position requires a combination of legal or corporate governance expertise, discretion, and administrative precision. The role works closely with executive leadership to translate board policies into corporate practices, upholding the organization's integrity and compliance with Saudi regulatory standards.

Key Responsibilities

  • Manage Board meeting schedules, prepare agendas and working papers, and draft comprehensive meeting minutes.
  • Archive Board reports, maintain secure and accurate governance registers, and ensure timely access to necessary documents for members.
  • Assist directors with compliance frameworks, including Saudi corporate governance regulations, administer the disclosure register for the Board and executive management, and track governance documentation.
  • Monitor the implementation of Board decisions, coordinate action items with management, and report periodically on progress.
  • Act as a primary liaison between the Chairman, directors, auditors, advisors, and management, maintaining strict confidentiality.
  • Handle additional legal and governance duties assigned by senior management within the scope of the function and applicable regional laws.

Qualifications and Experience

  • 5-10 years of relevant experience in a company secretarial or corporate governance role.
  • Demonstrated acumen in legal or corporate governance.
  • Experience working with Board of Directors and executive management.
  • Familiarity with Saudi corporate governance regulations is essential.
