Corporate Laws Expert

About the Role

stc is seeking a Corporate Laws Expert to join its team in Riyadh, Saudi Arabia. This full-time role involves providing legal support and strategic advice on corporate law matters, including mergers and acquisitions, investments, corporate restructuring, and governance. The expert will ensure regulatory compliance, manage legal risks, review transaction documents, and support informed business and investment decisions for the company.

Key Responsibilities

• Contribute to the development and implementation of Corporate Laws strategies and initiatives in alignment with company objectives.
• Provide specialized legal support and expertise in Corporate Laws matters, ensuring effective execution of assigned responsibilities.
• Support the implementation of changes and improvements within Corporate Laws processes.
• Ensure compliance with organizational policies, procedures, and quality standards within the scope of assigned responsibilities.

Legal Advisory and Compliance

• Conduct legal studies and provide consultations related to the Capital Market Authority (CMA), including securities laws, stock market regulations, and IPO requirements.
• Offer legal support on corporate governance, registration requirements, licensing, and trade practices under the Ministry of Commerce (MoC).
• Advise on compliance with competition laws, merger control, anti-competitive practices, and market dominance as per the General Authority for Competition (GAC).
• Analyze the impact of applicable regulations on the company’s operations and provide relevant legal recommendations.
• Provide legal support for establishing new subsidiaries/SVs, liquidating existing entities, and amending Articles of Association and Bylaws.
• Prepare and coordinate the issuance of delegations of authority and Powers of Attorney (PoAs).
• Review and provide legal input on the company’s strategic policies to ensure compliance with applicable laws and regulations.
• Coordinate with local and international law firms on legal matters related to Company Law, CMA regulations, GAC, and other relevant laws and regulations.
• Review and follow up on amendments to the company’s constitutional documents to ensure legal compliance.
• Prepare and follow up on the submission of Extraordinary General Assembly resolutions through the Ministry of Commerce portal.

Team Leadership and Support

• Provide guidance and technical support to junior team members, where applicable.
• Support the achievement of team objectives through effective execution of assigned responsibilities and deliverables.

Qualifications and Experience

• A minimum of 6-8 years of relevant experience in corporate law.
• Demonstrated expertise in mergers and acquisitions, investments, corporate restructuring, and governance matters.
• Strong understanding of regulatory compliance, particularly with CMA, MoC, and GAC regulations.
