About the Role

Maharah Human Resources is seeking a full-time Governance Specialist to join its team in Riyadh, Riyadh Province. This role is central to implementing, monitoring, and continuously enhancing the company's corporate governance framework. The specialist will ensure full regulatory compliance, particularly with the Capital Market Authority (CMA) Corporate Governance Regulations, Saudi Companies Law, and other relevant frameworks for companies listed on the Saudi Exchange (Tadawul).

Corporate Governance Framework Management

The Governance Specialist will be responsible for the comprehensive management of the corporate governance framework. Key duties include:

  • Implementing and maintaining the corporate governance framework in accordance with CMA Corporate Governance Regulations and the Saudi Companies Law.
  • Reviewing and updating governance policies, procedures, charters, and delegation of authority.
  • Ensuring compliance with governance requirements applicable to listed companies.
  • Promoting governance awareness across the organization and supporting governance improvement initiatives and maturity assessments.
  • Assisting in developing governance KPIs and reporting dashboards.

Regulatory Compliance and Reporting

A core aspect of this role involves ensuring strict adherence to regulatory requirements and managing all related reporting obligations. Responsibilities include:

  • Monitoring regulatory developments issued by the Capital Market Authority (CMA), Tadawul, and other relevant authorities.
  • Ensuring compliance with CMA disclosure and reporting requirements.
  • Supporting the preparation and review of governance disclosures within the Annual Report.
  • Coordinating regulatory filings and responding to governance-related inquiries from regulators.
  • Conducting governance compliance assessments and gap analyses.
  • Providing governance advice to executive management and business units.

Board and Committee Support

The specialist will provide essential support to the Board of Directors and various Board Committees, ensuring efficient operations and accurate record-keeping. This includes:

  • Coordinating Board of Directors and Board Committee meetings.
  • Preparing agendas, board packs, minutes of meetings, and resolutions.
  • Maintaining governance records and official corporate documentation.
  • Monitoring implementation of Board and Committee resolutions.

Required Qualifications and Experience

Candidates for this role must meet the following criteria:

  • Bachelor's degree in Law, Corporate Governance, Business Administration, Finance, or a related field.
  • Minimum of 3 years of experience in corporate governance for listed companies in Saudi Arabia.
  • Demonstrated experience supporting Board of Directors and Board Committees.
  • Proven experience in preparing governance reports, disclosures, and board documentation.

Preferred Skills and Background

The following qualifications are considered advantageous:

  • Professional certification in Corporate Governance.
  • Legal background or experience within Legal & Governance functions.
  • Experience working specifically in listed companies.
