Legal Compliance & Governance Manager

Talents Sea is seeking a Legal Compliance & Governance Manager to join their team in Riyadh, Saudi Arabia. This full-time role is central to ensuring the organization operates in full adherence to legal, contractual, and regulatory standards, while also upholding strong corporate governance principles.

Role Overview

The Legal, Compliance & Governance Manager will provide comprehensive legal, contractual, compliance, risk management, and corporate governance support across the organization. The position is responsible for overseeing contractual matters, claims, disputes, regulatory compliance, corporate governance frameworks, and legal risk management to ensure all activities align with applicable laws, regulations, contractual requirements, internal policies, and recognized governance standards.

Key Responsibilities

• Provide legal and contractual advice to management and relevant teams.
• Review, draft, negotiate, and manage commercial contracts, agreements, and related documents.
• Monitor compliance with contractual obligations and identify potential legal, commercial, and operational risks.
• Support teams in managing claims, variations, extensions of time (EOT), delays, and other contractual matters.
• Review formal notices, contractual correspondence, and claims submissions.
• Advise management on potential disputes and recommend risk mitigation and resolution strategies.
• Coordinate with external legal counsel, consultants, government authorities, and other stakeholders.
• Monitor and advise on compliance with applicable laws, regulations, and government requirements.
• Develop and maintain legal, contractual, and compliance registers.
• Establish procedures for identifying, assessing, monitoring, and mitigating legal and regulatory risks.
• Review organizational policies, procedures, delegations of authority, and governance frameworks.
• Ensure compliance with established approval processes for contracts, commitments, and material decisions.
• Support management in corporate governance matters and ensure proper documentation of key decisions.
• Conduct legal and compliance reviews of significant transactions and business arrangements.
• Monitor regulatory developments and assess their potential impact on operations.
• Provide legal guidance on employment, supplier, and service provider contractual matters.
• Support compliance with data protection, confidentiality, intellectual property, and information security requirements.
• Develop and maintain compliance policies, procedures, checklists, and internal controls.
• Conduct periodic compliance assessments and internal reviews.
• Identify non-compliance issues and coordinate corrective and preventive actions.
• Investigate reported compliance concerns and escalate material issues to senior management.
• Support internal and external audits related to legal, contractual, compliance, and governance matters.
• Maintain accurate and up-to-date legal records, contracts, licenses, permits, and regulatory documentation.
• Prepare periodic legal, compliance, risk, and governance reports for senior management.
• Deliver training and awareness sessions on contractual obligations, compliance, ethics, and corporate governance.

Qualifications and Experience

• A minimum of 5 to 10 years of relevant experience in legal, compliance, or governance roles.
