About the Role

stc is seeking a Subsidiaries Board Secretaries Assistant Manager to join their team in Riyadh, Saudi Arabia. This full-time role involves supporting the nomination, onboarding, and oversight of Subsidiaries Board Secretaries, ensuring compliance with corporate governance standards and facilitating effective collaboration between the Group and its subsidiaries.

Role Purpose

The primary purpose of this position is to assist in maintaining high standards of corporate governance across stc's subsidiaries. The role ensures that subsidiary boards operate effectively and in alignment with Group objectives, fostering strong communication and resource access for robust governance frameworks.

Key Responsibilities

  • Assist in the nomination of permanent Subsidiaries Board Secretaries, ensuring proper material handover based on subsidiary maturity and role dedication.
  • Support the onboarding process for newly appointed board secretaries to enhance collaboration with Group boards.
  • Oversee the activities of Subsidiaries Board Secretaries, providing guidance on corporate governance best practices.
  • Help organize and coordinate board meetings for subsidiaries, managing scheduling, agenda preparation, and logistics.
  • Maintain accurate records of board meetings, including minutes and resolutions, ensuring compliance with regulatory standards.
  • Act as a point of communication between subsidiary boards, executive management, and stakeholders to facilitate information flow.
  • Ensure subsidiary boards have access to necessary resources and support for effective governance.
  • Assist in synchronizing the Group Board and committees’ calendar with those of subsidiary boards, aligning mandatory agenda items.

Qualifications and Experience

  • A minimum of 4-5 years of experience in corporate governance, board management, or a related field.
  • Familiarity with legal and regulatory frameworks governing corporate governance.
  • Experience in supporting governance processes and coordinating meetings is highly advantageous.

Required Skills

  • Strong organizational skills and the ability to manage multiple tasks effectively.
  • Excellent communication and interpersonal skills to collaborate with various stakeholders.
