Pennell Hart is partnering with a leading organization in Saudi Arabia to appoint a Senior Legal Counsel. This full-time role is based in Riyadh and focuses on M&A, strategic investments, and complex corporate transactions.

The Opportunity

This is a highly transactional position within a sophisticated organization, requiring close collaboration with senior stakeholders and business teams. The role involves significant domestic and cross-border matters, offering a high-impact opportunity for a commercially minded transactional lawyer.

Key Responsibilities

• Leading M&A transactions, including acquisitions, disposals, and restructurings.
• Managing joint ventures, strategic alliances, and minority investments.
• Structuring complex transactions and conducting legal due diligence.
• Drafting and negotiating SPAs, SHAs, JV agreements, and other investment documentation.
• Overseeing external counsel across multiple jurisdictions.
• Advising senior stakeholders on transactional, corporate, and commercial risk.

Qualifications and Experience

• Common law qualified lawyer with approximately 7–12 years’ PQE.
• Trained and practiced within a Magic Circle, leading US, or other top-tier international law firm.
• Demonstrated strong track record of leading sophisticated cross-border M&A transactions.
• Excellent drafting, negotiation, and stakeholder management skills.

Desired Attributes

The ideal candidate will possess the confidence to operate independently in a fast-paced, international environment. Experience within a multinational, investment organization, sovereign entity, private equity environment, or similar platform is particularly relevant. Exposure to Saudi Arabia and/or the wider GCC region would be advantageous.
