About the Role

Olayan Saudi Holding Company is seeking an Assistant Legal Counsel Transaction to join their team in Riyadh, Saudi Arabia. This full-time position is designed for professionals with 0-1 years of experience, focusing on transactional legal support. The role involves preparing various legal documents and conducting research to mitigate risks associated with transactions for Olayan and its stakeholders.

Role Purpose

The primary purpose of this role is to prepare agreements, contracts, leases, and other transactional legal documents. This ensures the minimization of risks across different transactions. Additionally, the Assistant Legal Counsel will conduct necessary legal research and analysis to provide accurate information to Olayan and its stakeholders.

Key Responsibilities

Assist in the preparation, review, revision, and amendment of all transaction-related documentation, including purchase agreements, shareholder agreements, salary agreements, distribution agreements, and license agreements.
Conduct legal research and analysis to support the provision of accurate and timely legal advice and guidance to Olayan and its stakeholders concerning transactions.
Perform legal analysis and assessment of potential risks and opportunities associated with various transactions for Olayan.
Carry out legal due diligence by collecting and assessing all legal documents and information related to joint ventures to scrutinize potential legal risks, such as lawsuits or intellectual property details.
Support in sourcing external law firms and coordinate with them to ensure their activities and actions align with Olayan’s rules and regulations.
Prepare, revise, and amend legal documents related to external communications, ensuring compliance with the transaction's framework.
Maintain accurate and up-to-date records of all external communications and legal transactions, and support Senior Legal Counsels in their duties.
Coordinate with government bodies, such as the Ministry of Commerce, to discuss legal matters and transactions pending with the Ministry, and represent Olayan before Ministry officials.
