About the Opportunity

Swisslinx Middle East is recruiting on behalf of a diversified family group based in Riyadh, Saudi Arabia. The group is active in real estate development, institutional joint ventures, multi-brand F&B businesses, and international holdings. We are seeking a Corporate Legal Counsel (Transactions) to join a fast-moving, transaction-heavy legal function in a full-time capacity.

Role Purpose

The primary purpose of this role is to manage transactions end-to-end with minimal supervision, from term sheet negotiation to signing and completion. This position serves as the Group’s deal execution engine, requiring the ability to draft and negotiate documents to the standard of a senior associate at a leading law firm, often engaging with top-tier opposing counsel.

Key Responsibilities

  • Draft and negotiate the Group’s transaction documents, including joint venture and shareholders’ agreements, share purchase and subscription agreements, development and services agreements, franchise agreements (as franchisor and franchisee), commercial leases, NDAs, and term sheets.
  • Execute deals by managing transaction checklists, conditions precedent, approvals, signing and completion mechanics, and coordinating counterparties, advisors, and local counsel across various jurisdictions.
  • Prepare and maintain negotiation tools such as issues lists, negotiating matrices, change logs, and clause-by-clause comparisons, ensuring consistency across document iterations.
  • Handle corporate actions, including capital increases, share swaps and transfers, entity formations and conversions, constitutional documents, and Ministry of Commerce filings.
  • Manage due diligence and information requests, both conducting due diligence on counterparties and responding to requests concerning the Group, covering title, corporate, and regulatory verification.
  • Produce and review bilingual documents, ensuring accuracy and consistency between Arabic and English versions, including prevailing-language discipline.
  • Identify related-party issues, approval requirements, and regulatory triggers early, routing them for approval prior to signing.
  • Supervise and develop the Junior Legal Counsel on transaction support.

Qualifications and Experience

  • 5-10 years of relevant legal experience.
  • Strong law firm training, preferably from an international firm or a leading regional practice.
  • Meticulous attention to detail, capable of identifying cross-reference errors, defined-term drift, and numerical inconsistencies, with a practice of triple-checking work.
  • Demonstrated ability as a self-sufficient deal manager: organized, composed under deadline pressure, and capable of managing multiple live matters concurrently.

This full-time position is based in Riyadh, Saudi Arabia, within a dynamic legal department that handles a high volume of transactions for a diverse family group.
