About the Role

Mohammad A. Al Habib & Sons Holding Company is seeking a Legal Specialist to join its Group’s Legal Team in Riyadh, Saudi Arabia. This is a full-time position that involves providing comprehensive legal support across various company functions and reporting directly to the Chief Legal Officer.

Key Responsibilities

• Provide accurate and timely legal support to internal departments and executives on a variety of legal topics, including labor law, partnerships, international ventures, and corporate finance.
• Draft and review investment agreements, shareholders’ agreements, joint venture agreements, share sale agreements, and other commercial contracts.
• Support company incorporation and restructuring procedures, including amendments to constitutional documents, ownership and capital changes, and corporate filings.
• Assist with legal matters related to investment companies, investment structures, and investment funds.
• Prepare and review board and shareholders’ resolutions, meeting minutes, governance policies, and other corporate documents.
• Negotiate, draft, and solidify complex transactional agreements, contracts, and other legal documents to ensure the company’s full legal rights.
• Conduct legal research and due diligence, identifying relevant legal and regulatory risks.
• Coordinate with internal stakeholders, external legal counsel, and relevant authorities.

Required Experience

Candidates should possess 2 to 5 years of relevant legal experience to effectively manage the responsibilities outlined for this role.

Work Environment and Location

This full-time position is based in Riyadh, Saudi Arabia, within the legal department of a holding company. The role requires collaboration with various internal departments and external legal entities.
