About the Role

Bupa Arabia is seeking an Assistant Manager, External Corporate Governance to join their team in Makkah, with operations spanning Jeddah and Makkah. This full-time role focuses on managing and coordinating the company's external corporate governance obligations, ensuring timely and accurate completion of market disclosures, shareholder matters, related-party transactions, and statutory filings in compliance with regulatory requirements.

Role Purpose and Impact

The Assistant Manager provides practical governance advice to the business, maintains comprehensive and audit-ready records, and contributes to transparency, regulatory confidence, and effective shareholder governance. The position is critical for upholding compliance and maintaining strong relationships with external stakeholders.

Key Responsibilities

  • Manage market disclosures and announcements, including assessing triggers, coordinating with stakeholders (Finance, Legal, Investor Relations), drafting and reviewing announcements, obtaining approvals, publishing through approved channels, and maintaining disclosure registers.
  • Deliver shareholder and General Assembly governance by developing timetables, coordinating agendas, notices, supporting papers, voting arrangements, communications, and regulatory requirements, as well as documenting resolutions and following up on implementation.
  • Coordinate related-party transaction (RPT) governance, which involves obtaining and assessing RPT information, coordinating documentation with Finance and Legal, managing review, approval, disclosure, and follow-up processes, maintaining the RPT register, and highlighting gaps.
  • Maintain external governance compliance and statutory filings by managing a regulatory calendar, monitoring requirements and developments, coordinating periodic filings, identifying compliance gaps, and supporting the implementation of regulatory changes.
  • Strengthen reporting, records, and process effectiveness through preparing governance updates and reports, maintaining a repository of external governance records, improving templates and procedures, and supporting assurance or audit requests.

Work Environment

This is a full-time position based in Makkah, with responsibilities covering operations in Jeddah and Makkah. The role involves working within a structured corporate environment focused on regulatory compliance and governance.
