About the Role

Emdad By Elm is seeking a Contracts Specialist to join their team in Riyadh, Saudi Arabia. This full-time role involves leading and managing legal and contractual affairs for projects, providing legal guidance and advice in alignment with operational and strategic objectives. The specialist will ensure the protection of the entity's interests and legal standing through effective contract management, legal consultation, policy development, and mitigation of legal and contractual risks.

Key Responsibilities

  • Lead the review, drafting, and negotiation of contracts, agreements, and memoranda of understanding where the entity is a party.
  • Prepare and draft contracts, annexes, amendments, and relevant legal documents to safeguard the entity's rights and obligations.
  • Lead contractual negotiations with external parties and entities, representing the organization during these discussions.
  • Prepare negotiation papers, meeting minutes, and legal documents related to contractual matters.
  • Provide legal advice and opinions to internal departments on contractual, regulatory, and legal issues.
  • Prepare, draft, review, and update internal policies, regulations, and procedures in compliance with relevant laws and regulations.
  • Prepare and review policies, agreements, regulations, and controls related to data protection and privacy, ensuring data security, confidentiality, and integrity.
  • Assess and analyze legal and contractual risks, measuring their potential commercial and operational impact.
  • Recommend appropriate amendments and measures to mitigate and address legal and contractual risks.
  • Manage the contract lifecycle, including renewals, extensions, amendments, terminations, breaches, and escalations.
  • Monitor developments in relevant laws and regulations pertaining to the entity's activities and assess their impact on contracts, policies, and procedures.
  • Prepare memos, opinions, correspondence, and legal documents in both Arabic and English.
  • Coordinate with internal departments, stakeholders, and relevant entities to ensure compliance with legal and contractual requirements.
  • Contribute to the development and improvement of legal and contractual processes, practices, and controls.

Qualifications and Experience

  • Bachelor's degree in Law, Regulations, Legal Studies, or a related field.
  • A minimum of 5 years of practical experience in the legal, contractual, or a related field.
  • Experience in preparing, drafting, reviewing contracts, agreements, memoranda of understanding, and contractual amendments.
  • Experience in leading contractual negotiations and managing relationships with external parties and stakeholders.
  • Experience in preparing, reviewing, and updating internal policies, regulations, and procedures.
  • Experience with data protection and privacy requirements, including related policies, agreements, regulations, and controls.
  • Strong knowledge of relevant laws and regulations pertaining to the entity's activities.
  • Experience in providing legal advice and opinions, and preparing memos, correspondence, and legal documents.
  • A WorldCC CCM Practitioner certification or higher is preferred.
