Role Overview

Maaden is seeking a Senior Joint Venture and Transaction Subject Matter Expert to serve as a senior reference for joint ventures, strategic partnerships, and complex industrial transactions. This full-time role is based in Ras Tannurah, Eastern KSA, and involves providing hands-on deal architecture, negotiation support, and execution leadership to ensure joint venture options are developed to decision-ready maturity. The position is within the Business Development department of Maaden Aluminum / Strategy & Business Development.

Key Responsibilities

• Act as the principal subject matter expert on JV strategy, transaction architecture, governance, shareholder protections, and deal execution.
• Advise on ownership, control, reserved matters, funding, operator model, offtake, performance obligations, deadlock, transfer, default, and exit mechanisms.
• Develop and challenge Maaden's negotiating positions, fallback positions, red lines, and concession strategy.
• Participate in strategic negotiations and provide real-time advice to the negotiation team.
• Guide the preparation and alignment of commitment documents, including Heads of Terms (HoT) or term sheets, Joint Development Agreements (JDA), Joint Venture Agreements (JVA) or Shareholder Agreements (SHA), offtake arrangements, and ancillary agreements.
• Identify critical-path activities, parallel-working opportunities, and practical measures to shorten transaction timelines without weakening governance or diligence.
• Coordinate and challenge legal, financial, commercial, and technical workstreams to maintain an integrated transaction position.
• Review partner proposals, due-diligence findings, business cases, risks, and decision papers, highlighting unresolved exposure and required mitigation.
• Coach the internal Business Development team and transfer practical JV knowledge, tools, and precedent-based lessons.
• Escalate delays, decision gaps, and partner commitment concerns early, with clear recovery actions.

Qualifications and Experience

• Bachelor's degree in Business, Finance, Engineering, Law, or a related discipline; a relevant master's degree or professional qualification is preferred.
• Typically 10+ years of relevant experience, including substantial leadership of industrial JVs, partnerships, M&A, or project-financed transactions.
• Demonstrated experience negotiating HoTs, JDAs, JVAs, SHAs, offtake agreements, and complex governance arrangements.
• Experience in capital-intensive industrial, mining, metals, energy, or infrastructure transactions is strongly preferred.
• Proven ability to operate effectively with executives, Boards, partners, counsel, and multidisciplinary advisors.
• Availability for a highly responsive remote assignment and travel when required.

Work Environment

This is a full-time position based in Ras Tannurah, Eastern KSA, with standard working hours of 8 hours per day. The role may require travel and remote assignments as needed.
