The M&A Lawyer Role in Saudi Arabia

Moritz is seeking an M&A Lawyer to serve as co-counsel for its M&A operations in Saudi Arabia. This contract position involves handling a range of transactions, including share and asset deals, mergers, carve-outs, and joint ventures, for clients spanning from startups to midsize companies.

Key Responsibilities

  • Lead the drafting, review, and negotiation of key transaction documents such as SPAs, APAs, disclosure schedules, warranties and indemnities, and ancillary agreements.
  • Manage legal due diligence processes, coordinate specialist workstreams (*, tax, employment, IP, regulatory), and oversee the transaction timeline through signing and closing.
  • Provide advice on deal structuring, earn-outs, deferred consideration, Warranty & Indemnity (W&I) insurance, closing mechanics, and post-closing matters.
  • Commit to meeting established Service Level Agreements (SLAs), such as a 24-hour turnaround, when accepting work with such requirements.

Qualifications and Experience

  • A minimum of 5 years of experience practicing M&A or corporate law, gained in either private practice or an in-house legal department.
  • An active license and good standing with the bar or law society of Saudi Arabia.
  • Maintenance of professional indemnity insurance or willingness to obtain it in line with local requirements.

Essential Skills and Attributes

  • End-to-end deal experience: Proven capability to lead transactions from the term sheet stage through to closing, rather than solely supporting specific workstreams.
  • Deep familiarity with transaction documents: Comprehensive understanding of SPAs, APAs, disclosure letters, warranty and indemnity regimes, and completion mechanics.
  • Due diligence command: Ability to scope, execute, and synthesize a diligence exercise into actionable findings for a buyer.
  • Cross-border fluency: Comfort and experience coordinating with counsel in other jurisdictions on multi-country deals.
