The Role of Legal Counsel, Managing Associate

As a Legal Counsel, Managing Associate based in Riyadh, you will be responsible for leading the provision of legal services to Ma'aden's affiliates. This involves ensuring that all business goals are achieved in a legally compliant manner, while also serving as a custodian of specialized legal knowledge within the organization. The position requires a professional with over 10 years of experience in relevant legal fields.

Core Legal Advisory and Compliance Accountabilities

  • Provide expert advice on contractual and legal matters, operating under the guidance of the General Counsel.
  • Review, examine, and recommend actions to ensure all legally binding instruments comply with the Kingdom’s laws and Ma'aden’s internal regulations.
  • Review internal company rules and regulations and offer legal advice as required.
  • Deliver legal advice on contractual, administrative, and related matters to all Ma'aden departments to safeguard the company’s legal rights and interests.
  • Review contracts, purchase orders, and other legal documents to ensure adherence to national laws and company policies.
  • Monitor, analyze, and advise on new and amended laws, regulations, regulatory policies, and enforcement trends affecting Ma'aden’s operations, including assessing their legal and business impact.
  • Lead and coordinate Regulatory Impact Assessments (RIAs) for new and amended laws, regulations, and regulatory requirements, which includes identifying compliance obligations and necessary implementation actions.
  • Provide legal and regulatory advice on compliance matters, encompassing securities regulations, labor laws, environmental regulations, competition laws, and other applicable regulatory frameworks.
  • Liaise and coordinate with regulatory authorities, government entities, and external counsel regarding regulatory inquiries, investigations, inspections, and general compliance matters.
  • Support the development, implementation, and enhancement of compliance policies, procedures, controls, and monitoring programs to ensure ongoing regulatory adherence.

Dispute Management and Documentation

  • Support legal dispute resolution activities, including review, preparation, advice, representation, reporting, and litigation support.
  • Manage and oversee disputes, claims, arbitrations, mediations, and litigation matters involving Ma'aden and its subsidiaries.
  • Advise on contractual claims, variation orders, change orders, delays, breaches, terminations, liquidated damages, and other dispute-related contractual matters.
  • Prepare dispute reports, legal updates, case status summaries, and management briefings for senior management, committees, and the Board of Directors.
  • Translate legal documentation between Arabic and English.

Candidate Profile

Candidates for this role must possess a minimum of 10 years of relevant legal experience. The ideal candidate will demonstrate a strong understanding of legal frameworks pertinent to a large-scale mining and metals company, coupled with proven expertise in compliance and dispute resolution.

Work Arrangement

This is a full-time position based in Riyadh.
