About the Role

Qureos is seeking a Board Secretary to join their team in Riyadh, Saudi Arabia. This full-time position is responsible for providing comprehensive administrative, governance, and coordination support to the Board of Directors, ensuring effective organization and documentation of Board activities.

Role Purpose and Context

The Board Secretary ensures the highest standards of confidentiality, accuracy, professionalism, and corporate governance in all Board activities, including meetings, agendas, minutes, resolutions, and follow-up actions. The role serves as a central coordination point between the Board of Directors, Board Committees, the University President, and relevant University departments, ensuring that all Board matters are properly prepared, documented, communicated, and followed up in accordance with the University’s policies, regulations, and governance framework.

Key Responsibilities

  • Coordinate and schedule regular, extraordinary, and emergency meetings of the Board of Directors.
  • Prepare and circulate meeting invitations, agendas, supporting documents, and presentations to Board members within required timelines.
  • Attend Board meetings and accurately record discussions, decisions, recommendations, and action items, then prepare professional minutes for review and approval.
  • Maintain an official and up-to-date record of Board resolutions and decisions, coordinating their review, approval, signing, and distribution.
  • Maintain a comprehensive Board Resolution and Action Items Register, monitoring the implementation of Board decisions and recommendations.
  • Support the effective implementation of the University’s governance framework and Board procedures, ensuring compliance with applicable policies and regulations.
  • Coordinate meetings and documentation for committees and subcommittees established by the Board, including agendas, meeting materials, minutes, and action trackers.
  • Serve as a central coordination point between the Board of Directors, Chairman, University President, executive management, and relevant departments.
  • Maintain strict confidentiality of all Board discussions, documents, decisions, and sensitive institutional information.
  • Provide administrative support to the Chairman of the Board, including preparing briefing materials, reports, presentations, and summaries.

Qualifications and Experience

  • A minimum of 10 years of relevant experience in a similar role.
  • Demonstrated ability to manage Board meeting logistics and documentation effectively.
  • Strong understanding of corporate governance principles and compliance.
  • Proven ability to maintain confidentiality and manage sensitive information.

Required Skills

  • High level of accuracy and attention to detail in documentation.
  • Strong communication and interpersonal skills for effective stakeholder coordination.
  • Proficiency in maintaining secure and organized record-keeping systems.
