About the Role

Albawani, a leading construction and contracting company in Saudi Arabia, is seeking a Senior Legal Advisor specializing in Public-Private Partnerships (PPP) and Investments. Headquartered in Riyadh, Albawani has a strong track record in delivering large-scale commercial, healthcare, educational, and government projects across the Kingdom since its establishment in 1991. This full-time position requires a mid to senior-level legal expert with proven experience in handling PPP mandates from RFP stage through to financial close.

Key Responsibilities

  • Drafting and reviewing various legal documents including contracts, letters, notifications, Memoranda of Understanding (MoUs), and Joint Development Agreements (JDAs).
  • Leading legal discussions for JDAs with partners.
  • Reviewing, drafting, negotiating, and finalizing EPC/O&M term sheets, contracts, and other project documentation.
  • Managing discussions with contractors and clients regarding project documentation.
  • Coordinating with external counsels for the review and markup of project documentation.
  • Liaising with local and international external counsels on all legal aspects of PPP and construction projects, including company incorporation, legal due diligence, and transaction document negotiation.
  • Leading negotiations for financing documents with sponsor and lender counsels.
  • Supporting the commercial and business development teams in negotiations for PPP and construction projects.
  • Preparing risk matrices for relevant committees in coordination with commercial and BD teams.
  • Reviewing advisory engagements, NDAs, and MoUs shared by third parties.
  • Advising on Mergers & Acquisitions (M&A) and cross-border deals, including drafting Share Purchase Agreements (SPAs), Shareholder Agreements (SHAs), and Put/Call Option agreements.
  • Managing litigation in coordination with external counsel.
  • Supporting the review of financing and security creation documents, including obtaining requisite legal opinions.
  • Providing legal support for the company's operational issues.
  • Offering day-to-day legal advice on various matters, including disputes, claims, and legal compliance.
  • Maintaining organized and up-to-date legal records and documentation.
  • Assisting with the preparation of legal reports, memos, and presentations for senior management.
  • Assisting and advising the company on all assigned legal matters.

Qualifications and Experience

  • Bachelor’s degree in Law (** is required; higher education from a recognized university is preferred.
  • A minimum of 5 to 10 years of relevant experience.
  • Proven track record of handling PPP mandates from RFP to financial close in the region.
  • Strong knowledge of construction law, contract law, public-private partnerships, labor law, and regulatory requirements in the Kingdom of Saudi Arabia.
