TwoAtoms Capital works with Saudi mid-market companies that are experiencing growth that outpaces their balance sheets, assisting with equity capital markets (TASI and Nomu), debt capital markets and sukuk, and M&A transactions.

The Associate Role in Capital Markets

TwoAtoms Capital is seeking an Associate to join its team in Al Khobar. This full-time role involves working on live Equity Capital Markets (ECM) and Debt Capital Markets (DCM) mandates from end to end. The Associate will have direct ownership of workstreams, covering pre-mandate positioning and readiness, documentation, regulatory submission, marketing, pricing, and closing phases of transactions. The position requires 2-5 years of relevant experience.

Key Responsibilities in Equity Capital Markets

• Building and maintaining valuation models (DCF, comparable companies, precedent transactions) and pricing analysis for IPO, rights issue, private placement, and direct listing mandates.
• Drafting prospectuses and Nomu registration documents, preparing CMA and Tadawul submissions, and responding to regulator comments.
• Running IPO readiness work, including governance, financial reporting, related-party, and restructuring items to be resolved before filing.
• Preparing investor presentations, research analyst presentations, roadshow materials, and book-building analysis.

Key Responsibilities in Debt Capital Markets and Sukuk

• Supporting the structuring of sukuk and conventional debt, including sizing, tenor, profit rate, covenant analysis, and debt capacity modeling against client cash flows.
• Preparing offering circulars, investor packs, and rating agency materials, and assisting with Sharia structuring and Sharia board documentation.
• Tracking Saudi and GCC issuance, pricing, and spreads to support structuring and pricing recommendations.

General Mandate Responsibilities

• Managing information request lists, data rooms, and diligence workstreams, and coordinating legal counsel, auditors, and reporting accountants.
• Preparing pitch materials, teasers, information memoranda, and internal committee papers.
• Supporting M&A and private capital raise mandates as deal flow requires.
• Acting as a day-to-day point of contact for clients on process.
