About the Role
Keeta is seeking a Senior Legal Counsel to join its team in Riyadh, Saudi Arabia. This full-time position involves providing comprehensive legal advice and support on transactions and commercial matters within KSA and the broader GCC region. The role requires a seasoned legal professional capable of ensuring compliance with local and international laws and effectively managing legal risks.
Role Context and Scope
The Senior Legal Counsel will be responsible for drafting, reviewing, and negotiating a variety of legal documents. This position demands close collaboration with senior management and business units, as well as engagement with KSA authorities and external stakeholders to maintain a favorable regulatory environment. The counsel will also represent the company in legal proceedings and dispute resolution matters.
Key Responsibilities
- Conduct legal research and provide comprehensive advice on transactions and commercial matters in KSA and the GCC, including cross-border transactions, joint ventures, franchising, and licensing.
- Draft, review, and negotiate contracts, agreements, and other legal documents in both English and Arabic, ensuring compliance with KSA and applicable international laws.
- Advise on KSA local laws and regulations, identify and assess legal risks, and develop mitigation strategies.
- Assist business and General Affairs teams in applying for and obtaining necessary licenses and permits for retail, logistics, warehousing, and other company operations.
- Collaborate with senior management and business units to ensure legal requirements are met across all KSA business operations.
- Support business units in communicating with relevant KSA authorities and external stakeholders.
- Represent the company in legal proceedings, negotiations, and dispute resolution matters in KSA courts and alternative forums.
- Stay updated on changes in the KSA legal landscape, GCC regulatory developments, and industry trends, communicating updates to internal stakeholders.
- Develop and maintain a high-quality resource pool of external law firms and legal advisors in KSA, fostering strong relationships.
- Collaborate with the global legal team to ensure consistency in legal frameworks and compliance standards across jurisdictions.
Mandatory Qualifications
- A bachelor's degree in law from a recognized university; an advanced degree is preferred.
- A minimum of 7 years of relevant legal work experience, with at least 5 years in KSA.
- Extensive knowledge of KSA corporate law, contract law, commercial law, labor law, and regulatory frameworks applicable to foreign-invested enterprises.
- Strong analytical, problem-solving, and communication skills, with the ability to present complex legal matters clearly to non-legal stakeholders.
- Native Arabic speaker with fluent English proficiency (both written and spoken) as a working language.
- Ability to work independently and as part of a cross-functional team.
- Proven track record of managing complex legal projects, transactions, and deadlines in a fast-paced environment.
- Familiarity with KSA regulatory authorities, licensing procedures, and government approval mechanisms.
- Experience in the retail, logistics, warehousing, or food delivery industry, with an understanding of supply chain, warehouse operations, dark store leasing, merchant contracts, and logistics service agreements.
Preferred Qualifications
- Diverse professional background, including experience in law firms, in-house legal teams, government, and/or judicial institutions.
- Overseas education experience in an English-speaking country.
- Experience working with or advising multinational companies in the technology or delivery industry.
- Professional legal qualification recognized in KSA.
- Knowledge of Sharia law principles as they relate to commercial transactions.
- Familiarity with KSA's legal requirements for foreign investment and joint ventures under KSA Companies Law.
- Understanding of e-commerce, fintech, or digital services regulation in KSA.
- Knowledge of KSA's Public Tender Law and procurement frameworks.
