LEGAL COUNSEL CONTRACTS

About the Role

alfanar is seeking a Legal Counsel, Contracts to provide day-to-day legal support for its EPC and project development businesses. This full-time role involves working under the guidance of the Senior Legal Counsel and General Counsel, focusing on renewable energy, power, water, and infrastructure projects across Saudi Arabia and international markets.

Key Responsibilities

• Lead legal support for EPC and development tenders, including RFPs, contract reviews, qualifications, deviations, clarifications, risk registers, and bid approvals.
• Draft, review, and negotiate EPC, EP, construction, turnkey, supply, and O&M contracts for power, water, renewable energy, transmission, distribution, and industrial projects, utilizing FIDIC and bespoke forms.
• Advise on risk allocation, guarantees, liquidated damages, liability, indemnities, warranties, insurance, suspension, and termination clauses.
• Negotiate subcontracts, supply, consortium, JV, and teaming agreements, ensuring alignment with main contracts.
• Support contract administration, including notices, variations, EOT, delays, payments, commissioning, close-out, and remedies.
• Review bonds and parent company guarantees, including calls and defenses.
• Support development and investment in renewable energy, power, water, and infrastructure from origination to financial close.
• Draft and negotiate joint development, JV, shareholders', consortium, cooperation, and MoU agreements.
• Advise on PPAs, water purchase, implementation, concession, land, lease, grid connection, and government support agreements.
• Support project financing and negotiate financing and security documents with finance teams and external counsel.
• Advise on construction claims, contractual disputes, arbitration, and litigation.
• Advise on Saudi and international laws covering procurement, local content, Saudization, contractor classification, licensing, and foreign investment.

Project Development and Finance Support

The role involves assisting with project structuring, acquisitions, divestments, due diligence, and corporate transactions. This includes identifying legal risks and preparing investment committee inputs. Additionally, the Legal Counsel will review loan and direct agreements, equity contributions, sponsor support, guarantees, and security packages, while supporting lender due diligence and fulfillment of conditions precedent. Advice on bankability and alignment of project, EPC, and financing agreements is also a key aspect.

Claims Management and Dispute Resolution

Responsibilities include supporting notices and EOT, variation, delay, disruption, and other claims. The Legal Counsel will assess claims, counterclaims, and exposure, recommending commercial resolutions. This involves leading negotiations, settlements, and dispute avoidance, as well as coordinating external counsel, technical and quantum experts, and claims consultants to enforce contractual rights and recover outstanding payments.

Corporate, Regulatory, and Compliance

The Legal Counsel will support corporate structuring, JVs, project companies, and branches. This includes preparing corporate approvals, board resolutions, powers of attorney, and related documents. The role also involves supporting anti-bribery, sanctions, and export control compliance, as well as identifying regulatory risks and advising on mitigation strategies.

Qualifications and Experience

• 5-10 years of relevant legal experience.
