About the Role

KPMG Saudi Arabia is seeking a Director to join its M&A Advisory team in Riyadh, Saudi Arabia. This full-time role requires over 10 years of experience and involves leading complex M&A mandates and contributing to business development within the region.

Key Responsibilities

  • Deal Origination & Business Development: Lead generation for sell-side and buy-side mandates across KSA and UAE. Prepare and present compelling pitch materials, Information Memoranda, and strategic advisory frameworks at board and ExCo level. Maintain an active pipeline, tracking market intelligence, and building proprietary deal flow in collaboration with sector leads and Partners.
  • Transaction Execution: Lead end-to-end execution of M&A advisory mandates (sell-side, buy-side, divestiture, carve-out, joint ventures) from mandate win to closing. Oversee preparation of high-quality transaction documents including Information Memoranda, management presentations, and process letters, as well as data room management. Drive valuation work, reviewing output prepared by Managers and Associates, and lead commercial negotiations. Manage vendor and buyer-side processes, including management Q&A sessions, exclusivity negotiations, and conditions to closing. Coordinate cross-functionally with tax, legal, debt advisory, strategy, and integration specialists across the firm.
  • Client Relationship Management: Act as the primary day-to-day senior point of contact for clients through live transactions, maintaining trust and managing expectations at all stages. Develop deep, multi-contact relationships across target accounts, positioning the firm for follow-on mandates and expanding wallet share. Provide strategic counsel on deal timing, structure, and market positioning beyond the immediate transaction.
  • Team Leadership & Development: Lead, mentor, and develop a deal team of Managers, Senior Associates, and Analysts, setting high standards for analytical rigor, client communication, and professional conduct. Review and quality-assure all client deliverables prior to distribution. Contribute to recruitment, performance reviews, and the development of best-practice methodologies within the team.

Required Experience and Qualifications

  • 10–12 years of M&A advisory, corporate finance, or investment banking experience, gained at a Big 4, bulge bracket, elite boutique, or mid-market advisory firm.
  • A demonstrable track record of leading and closing sell-side and/or buy-side M&A transactions as a senior advisor in KSA.
  • Experience managing full deal processes including data rooms, buyer processes, management presentations, and SPA negotiations.
  • Sector depth in at least one of: Technology & Media, Industrials & Business Services, Consumer & Retail, Healthcare, or Energy & Infrastructure.
  • Demonstrable business development activity and an existing network of PE, corporate, and intermediary contacts in the KSA / UAE market.

Essential Skills and Competencies

  • Commercial acumen and strategic instinct, with the ability to frame deal rationale and valuation in a way that resonates with board-level clients.
  • Exceptional written and verbal communication skills, including compelling pitch delivery and client presence.
  • Rigorous attention to deal mechanics, such as SPA structuring, locked-box vs. completion accounts, and earn-out design.
  • Strong project management capabilities, able to run multiple live transactions simultaneously without compromising quality.
  • Collaborative and inclusive leadership style, actively contributing to the firm's culture and knowledge-sharing initiatives.
  • High emotional intelligence (EQ) and political intelligence for managing complex multi-stakeholder processes.

Work Environment and Location

This is a full-time position based in Riyadh, Saudi Arabia, within KPMG's M&A Advisory team.
