About the Role

Eyad Reda Law Firm LLP is seeking a Legal Consultant specializing in Corporate Law to join its team in Riyadh, Saudi Arabia. This full-time role involves advising clients on a range of corporate and commercial legal matters, ensuring compliance with Saudi laws and regulations. The position requires a professional with 5 to 10 years of experience in the field.

Key Responsibilities

  • Advise clients on corporate and commercial legal matters in accordance with applicable Saudi laws and regulations.
  • Handle company establishment, incorporation, restructuring, mergers, transformations, and dissolutions.
  • Provide guidance on appropriate legal structures for establishing and operating businesses in Saudi Arabia.
  • Prepare, review, and amend Articles of Association, bylaws, shareholder agreements, resolutions, and other corporate documents.
  • Assist with company registrations, amendments, licenses, and regulatory requirements before relevant government authorities.
  • Advise on corporate governance and compliance matters.
  • Prepare and review shareholder, partner, and board resolutions, powers of attorney, and other corporate approvals.
  • Advise on acquisitions, disposals, investments, joint ventures, partnerships, and corporate restructuring.
  • Draft, review, and negotiate commercial agreements and other business-related contracts.
  • Conduct legal due diligence and identify legal, regulatory, and commercial risks.
  • Provide practical and commercially focused legal solutions.
  • Monitor changes in Saudi laws and regulations and advise clients on their impact.
  • Conduct legal research and prepare legal opinions, memoranda, proposals, and reports.
  • Support clients in obtaining and maintaining corporate registrations, licenses, approvals, and regulatory authorizations.
  • Manage corporate legal records and maintain accurate documentation.
  • Coordinate with clients, government authorities, and relevant stakeholders.
  • Manage multiple matters independently while meeting deadlines.

Qualifications and Experience

  • LLB degree is required.
  • A minimum of 5 years of experience in corporate and commercial law, preferably gained in a law firm or private sector setting.
  • Demonstrated experience in company incorporation, corporate restructuring, corporate governance, and commercial transactions.
  • Possession of a Practice License.

Required Skills

  • Strong knowledge of Saudi corporate and commercial laws and regulations.
  • Excellent verbal and written communication skills.

Work Environment

This is a full-time position based in Riyadh, Saudi Arabia, within a professional legal firm environment.
