About the Role
Bupa Arabia is seeking an Assistant Manager - External Corporate Governance to join their team in Jeddah. This employee role focuses on managing and coordinating Bupa Arabia’s external corporate governance obligations. The position ensures that market disclosures, shareholder and General Assembly matters, related-party transactions, and statutory filings are completed accurately, on time, and in line with applicable regulatory requirements.
Role Purpose and Contribution
The Assistant Manager provides practical governance advice to the business, maintains complete and audit-ready records, and contributes to transparency, regulatory confidence, and effective shareholder governance. This role is integral to maintaining compliance and robust governance frameworks within the organization.
Key Responsibilities
- Manage market disclosures and announcements by assessing disclosure triggers, coordinating with business owners, Finance, Legal, Investor Relations, and other stakeholders. This includes drafting and quality-reviewing announcements, obtaining required approvals, publishing through approved channels, and maintaining the disclosure register and supporting evidence.
- Deliver shareholder and General Assembly governance, which involves developing and managing the General Assembly timetable, coordinating agendas, notices, supporting papers, voting arrangements, shareholder communications, and regulatory requirements. The role also includes documenting resolutions and minutes, and following up on implementation actions and filings.
- Coordinate related-party transaction (RPT) governance by obtaining and assessing RPT information from relevant owners, coordinating documentation with Finance and Legal, and managing the required review, approval, disclosure, and follow-up process. Responsibilities also include maintaining the RPT register and highlighting gaps or overdue actions.
- Maintain external governance compliance and statutory filings by maintaining a regulatory calendar, monitoring applicable requirements and regulatory developments, coordinating periodic filings and evidence, identifying compliance gaps, and supporting the implementation of relevant regulatory changes.
- Strengthen reporting, records, and process effectiveness through preparing governance updates, dashboards, and status reports, maintaining a complete repository of external governance records, improving templates, trackers, and procedures, and supporting assurance or audit requests.
