Governance Manager

About the Role

Jeddah Airports | مطارات جدة is seeking a Governance Manager to lead the development, implementation, and continuous enhancement of the organization’s corporate governance framework. This full-time position is based in Jeddah and requires 5-10 years of relevant experience. The role ensures compliance with legal, regulatory, and organizational requirements, promoting transparency, accountability, and ethical conduct across the organization.

Role Purpose

The Governance Manager oversees governance structures, policies, and practices to ensure effective decision-making and adherence to corporate governance principles. This involves integrating governance frameworks across all departments and continuously monitoring compliance to identify and address any gaps or issues.

Key Responsibilities

• Lead the development, implementation, and continuous enhancement of the corporate governance framework, structures, policies, and processes.
• Ensure alignment of governance practices with corporate governance principles, regulatory requirements, and industry best practices.
• Oversee the integration of governance frameworks across all departments to ensure consistent application of governance standards.
• Ensure compliance with laws, regulations, and internal policies, while identifying and addressing governance-related gaps and issues.
• Manage governance support activities for the Board of Directors and its committees, facilitating informed decision-making.
• Monitor compliance with governance policies, provide reports to senior management and the Board of Directors, and offer recommendations.
• Identify, assess, and manage governance-related risks, and develop governance controls and mitigation plans.
• Oversee ethics and integrity programs to ensure adherence to the organization's Code of Conduct and governance requirements.
• Conduct governance reviews, assessments, and audits to evaluate effectiveness and implement necessary actions.

Qualifications and Experience

• Bachelor’s degree in a relevant field; an advanced degree or certification in governance is preferred.
• Proven experience in corporate governance, compliance, or a related field.
• Strong understanding of corporate governance principles, regulatory requirements, and industry best practices.
• Experience in developing and implementing governance frameworks and policies.
• Knowledge of ethics and integrity programs and governance controls.
