About the Governance Manager Role at Tamara

Tamara is seeking a dedicated Governance Manager to join its team in Riyadh, Saudi Arabia. This full-time role requires 5-10 years of experience and serves as a central point for governance matters within the organization. The successful candidate will ensure the company's activities, decisions, and documentation align with applicable regulatory requirements and internal governance standards.

Role Purpose and Context

The Governance Manager will play a key part in establishing and maintaining robust governance practices. Working closely with stakeholders across Legal, Compliance, Risk, and relevant business teams, this role coordinates governance forums, manages approvals, and maintains accurate governance records. The objective is to support effective oversight and ensure consistent, transparent, and well-controlled ways of working across Tamara.

Key Responsibilities

  • Develop, maintain, and continuously improve the companyโ€™s governance framework, including committees, charters, and decision logs, to ensure clear accountability and effective oversight.
  • Oversee the end-to-end policy governance lifecycle, from development and approval to periodic reviews, version control, and retirement.
  • Maintain a central policy inventory, ensuring each policy is up-to-date, mapped to regulatory obligations (including SAMA), and supported by audit trails.
  • Manage a structured regulatory obligations register, linking SAMA requirements to internal policies, controls, SOPs, and evidence artifacts.
  • Coordinate SAMA regulatory engagement, including preparing and reviewing responses, tracking commitments, and enforcing internal rules for document sharing.
  • Own the governance process for SAMA observations, including logging, assigning, tracking progress, and ensuring remediation actions include clear root-cause analysis and evidence.
  • Provide secretariat support for relevant committees, managing schedules, agendas, minutes, actions, and decision documentation.
  • Implement governance gates for high-impact changes, ensuring proper justification, approvals, and post-implementation reviews.
  • Coordinate governance responses to audit and compliance reviews, providing documentation and tracking management action plans.
  • Drive policy awareness mechanisms and support consistent governance practices across departments.
  • Produce governance reporting and management information for senior stakeholders on compliance status, open regulatory items, and remediation progress.

Required Qualifications and Experience

  • 5-10 years of experience within Banking or Financial institutions in the Saudi market.
  • Familiarity with SAMA & CMA regulations, policies, and requirements.
  • Strong understanding of corporate governance fundamentals, including Board/committees, executive roles, decision rights, and delegation of authority.
  • Experience with Board and committee operations, such as agenda planning, annual calendars, minutes, resolutions, and action tracking.
  • Awareness of regulatory and compliance expectations for financial services and regulatory interactions.
  • Proficiency in policy governance and document control, covering the draft-review-approval-publish-review cycle, versioning, and exceptions.
  • A robust risk, audit, and control mindset, with an emphasis on traceability and audit-ready records.

Key Skills

  • Strong executive communication and writing skills for clear minutes, memos, policies, and presentations.
  • Proven stakeholder management and facilitation abilities, capable of aligning diverse teams (Legal, Compliance, Risk, Finance) and managing senior stakeholders.
  • Effective planning and delivery discipline to manage deadlines, follow-ups, and multiple governance workstreams.
  • High attention to detail, confidentiality, and sound judgment when handling sensitive information.
  • Proficiency with tools such as Notion/SharePoint/document repositories, trackers/registers, and MS Office suite.

Work Environment

This is a full-time position based in Riyadh, Riyadh, Saudi Arabia. The role involves working collaboratively across various departments to uphold Tamara's governance standards and contribute to a well-controlled operational environment.
