The Opportunity: Head of Project Legal
DataVolt is seeking a Head of Project Legal to lead the legal workstream for its global data center development program. Based in Riyadh, this full-time role requires an individual capable of independently leading complex project, EPC, and financing transactions from day one. The Head of Project Legal will supervise external counsel and serve as a key business partner to the projects, finance, commercial, and compliance teams.
Key Responsibilities
- Act as the lead lawyer on strategic data center projects globally, covering early development through construction and operation.
- Structure, draft, and negotiate all key project and delivery contracts, including EPC/EPCM/design-build, long-lead equipment supply, O&M, master services agreements (MSAs), colocation/GPUaaS, connectivity, cooling arrangements, and land/real estate documentation.
- Support and, where required, lead on project finance and structured financing arrangements, collaborating with lenders, investors, and financial advisers to deliver bankable structures and documentation.
- Support corporate development initiatives such as acquisitions, disposals, and platform investments from term sheet through closing.
- Draft, review, and negotiate complex commercial contracts, including customer agreements, service level agreements, hyperscaler/enterprise contracts, vendor and EPC contracts, and framework/master agreements.
- Develop and maintain playbooks, fallback positions, and standard form templates for key project, EPC, and commercial contracts to ensure consistency, speed, and quality across regions.
- Ensure that all project documentation appropriately allocates and mitigates construction, performance, availability, technology, and regulatory risks.
- Identify and manage legal and regulatory issues related to project development, permitting, land, environmental and planning, as well as data center-specific regulations, data protection, and cross-border data considerations.
- Advise on corporate governance structures for project companies and JV entities, ensuring compliance with applicable laws, regulations, and internal policies.
Required Qualifications and Experience
- Master’s degree in Law.
- Admission to practice law in at least one major common law or civil law jurisdiction.
- Minimum of 15 years of post-qualification experience in a leading law firm and/or in-house role, with a strong emphasis on Project Development and Project Finance for infrastructure, energy, and data centers.
- Proven track record of leading complex, cross-border project and financing transactions from term sheet to closing.
- Demonstrated experience managing external counsel and leading multidisciplinary deal teams.
- Prior experience mentoring or managing junior lawyers and contributing to team strategy, with clear potential for leadership roles.
Essential Skills and Knowledge
- Strong capability to translate technical and commercial concepts into robust legal terms, and to calibrate risk allocation in line with market standards and DataVolt’s strategy.
- Deep understanding of Project contracts, including GTCs, Colo agreements, offtake contracts, EPCM, O&M, MSAs, and connectivity, cooling & power related agreements.
- Deep understanding of Project finance structures and standard documentation, such as common terms agreements, facility agreements, security packages, direct agreements, and intercreditor arrangements.
- Experience working on data center, digital infrastructure, or telecoms facilities is a strong advantage.
