About the Role

Abdullah Bin Khaled Al-Wael Law Firm and Legal Consultations is seeking a Lawyer / Legal Counsel to join its team in Riyadh. This full-time role involves advising holding companies, industrial groups, contracting firms, and foreign entities licensed in the Saudi market. The position combines advisory and litigation work, focusing on Saudi Companies Law and commercial contracts.

Role Context

The selected candidate will be responsible for drafting contracts, structuring transactions, and preparing legal memoranda for submission to judicial and quasi-judicial bodies. Key areas of work include handling acquisition, merger, and exit files, managing incorporation procedures for various entities, and addressing liquidation and bankruptcy matters. This role offers exposure to substantive files across multiple sectors and direct engagement with executive management.

Key Responsibilities

  • Provide written and oral legal advice to clients on matters related to Saudi Companies Law and commercial regulations.
  • Draft and review various commercial contracts, including incorporation, partnership, supply, distribution, commercial agency, services, and ownership transfer agreements, ensuring client protection and dispute reduction.
  • Prepare and file legal memoranda, statements of claim, responses, and pleadings before courts and quasi-judicial committees.
  • Examine acquisition, merger, and exit transactions, participate in legal due diligence, and prepare associated legal reports.
  • Manage liquidation and bankruptcy procedures in accordance with the Bankruptcy Law and its regulations, following up with competent authorities.
  • Execute incorporation procedures for Saudi, foreign, and mixed entities, including amendments to articles of association, and liaise with relevant authorities (Ministry of Commerce, Ministry of Investment, Saudi Business Center).
  • Prepare and update governance frameworks, internal bylaws, and general assembly and board resolutions for corporate clients.
  • Track regulatory and legislative developments impacting clients' businesses, issuing alerts and concise briefing notes.
  • Coordinate with the legal team and document file progress, maintaining current status within the firm's systems.

Qualifications and Experience

  • 2-5 years of experience in legal practice.
  • Demonstrated depth of knowledge in Saudi Companies Law and commercial contracts.
  • Proven ability to handle both advisory and litigation work.

Work Environment
