About the Role

Saudi Pan Kingdom Company - SAPAC is seeking a Transaction Manager (PPP) to join its team in Riyadh. This full-time position is crucial for the development, financing, bidding, and delivery of large-scale infrastructure and utility projects. The role requires a finance professional with a strong background in construction companies and Public-Private Partnership (PPP) projects, project finance, financial modelling, and transaction execution.

Key Responsibilities

  • Conducting comprehensive project financial analysis, including cash flows, cost structures, tariffs, and financial returns to support investment decisions and assess project viability.
  • Structuring, arranging, and managing project and corporate financing solutions, encompassing debt, equity, and bridge financing.
  • Developing, reviewing, and maintaining robust, bankable financial models for bidding, financing, valuation, and project evaluation purposes.
  • Coordinating with lenders, supporting conditions precedent and debt disbursement requirements, and facilitating successful financial close.
  • Performing financial due diligence, identifying key risks and red flags, and recommending practical mitigation measures.
  • Leading financial bid preparation, including pricing, tariff structuring, bid documentation, and ensuring compliance with RFP requirements.
  • Developing strategies for tariff and cost optimization, funding structure, and overall project financial performance enhancement.
  • Managing financial clarifications and queries from procuring authorities, lenders, investors, and project stakeholders.
  • Leading and supporting commercial negotiations with off-takers, EPC contractors, O&M providers, lenders, investors, and other counterparties.

Experience and Qualifications

  • Bachelor's degree in Finance, Economics, Business Administration, or a related discipline. An MBA, CFA, CA, ACCA, or equivalent professional qualification is preferred.
  • 7–12+ years of experience in project finance, PPP/PFI transactions, infrastructure investments, financial advisory, or transaction management.
  • Proven experience in developing, reviewing, and maintaining complex project finance and PPP financial models for infrastructure, utilities, water, wastewater, renewable energy, and power projects.
  • Demonstrated experience supporting successful financial close processes, including lender engagement, debt structuring, conditions precedent (CP) management, and debt disbursement coordination.
  • Strong track record in raising project finance, equity bridge loans, corporate loans, and engaging with commercial banks, DFIs, ECAs, and other financing institutions.
  • Hands-on experience in financial due diligence, model audits, refinancing transactions, acquisition analysis, and investment evaluation for large-scale infrastructure and energy assets.
  • Experience in bid preparation and financial bid management for PPP, IWPP, IWP, ISTP, STP, renewable energy, and other infrastructure projects, including tariff development, cost optimization, and lender market sounding.
  • Strong understanding of project agreements and financing documentation, including concession agreements, power/water purchase agreements, EPC contracts, O&M agreements, and financing term sheets.
  • Proven experience managing commercial and financial negotiations with lenders, investors, procuring authorities, EPC contractors, O&M providers, and other project stakeholders.

Work Environment

This is a full-time position based in Riyadh. The role involves working within a dynamic team focused on significant infrastructure and utility projects.
