Governance Director

About the Role

Progressive is seeking a Governance Director to join their team in Riyadh, Saudi Arabia. This full-time role involves strengthening corporate governance, compliance, and accountability across the organization. The position offers a highly competitive package and requires a Saudi National with extensive experience in corporate governance within the energy or oil & gas sector.

Role Overview

The Governance Director will be responsible for leading the development and continuous improvement of the corporate governance framework. This includes ensuring alignment with business objectives, regulatory requirements, and best practices, particularly within a large business operating in the energy or oil & gas sector in KSA.

Key Responsibilities

• Lead the development, implementation, and continuous improvement of the corporate governance framework.
• Ensure the Delegation of Authority (DoA) and authority matrix align with business objectives, regulatory requirements, and governance best practices.
• Advise and support the Board and its committees on governance, compliance, and fiduciary matters.
• Develop, communicate, and maintain governance policies and procedures across the organization.
• Review and enhance internal policies, procedures, manuals, charters, and processes to ensure alignment with governance standards and constitutional documents.
• Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.

Qualifications and Requirements

• Must be a Saudi National.
• Proven experience of 13+ years in corporate governance, board affairs, compliance, or company secretarial functions.
• Must have corporate governance experience for a large business operating within the energy or oil & gas sector in KSA.
• Strong understanding of governance frameworks, regulatory compliance, and risk management principles.
