Wasf Company for Advocacy and Legal Consulting is a Saudi firm providing integrated legal and advisory services to national and multinational clients operating in the Kingdom. The firm combines legal expertise with a practical understanding of business, regulatory, and commercial environments to deliver commercially focused solutions. Wasf advises clients across corporate and commercial matters, regulatory affairs, governance and compliance, and dispute resolution, including cross-border engagements. We are seeking a Head of Corporate & Commercial to lead, develop, and grow one of the firm's core legal practices in Riyadh, Saudi Arabia. This is a full-time role combining senior legal advisory, practice leadership, client relationship management, and commercial accountability.

Practice Leadership and Scope

The successful candidate will be accountable for the overall performance of the Corporate & Commercial Practice, including its technical quality, revenue, profitability, pipeline, and team development. The role involves developing and implementing the Practice's annual business and growth plan, establishing appropriate standards and quality controls, and supervising and developing lawyers within the team. Effective matter allocation and senior oversight are also key. The Practice covers three principal areas:

• Corporate & Transactions
• Commercial Contracts & Advisory
• Projects & Government Contracts

Core Legal Advisory Functions

Key responsibilities include leading and advising on a range of complex legal matters:

• Leading corporate structuring, company formation, and reorganization mandates.
• Managing mergers and acquisitions, joint ventures, and investment transactions.
• Advising on shareholders' arrangements, capital structures, and corporate reorganizations.
• Leading legal due diligence and transaction execution, including negotiation and drafting of documentation.
• Leading the drafting, review, and negotiation of complex commercial agreements.
• Providing ongoing corporate and commercial advisory, including employment-related corporate advisory and specialist commercial rights matters.
• Advising on projects, construction, infrastructure arrangements, and government contracts, including public procurement.
• Supporting major commercial and project negotiations, and providing senior-level legal opinions on complex commercial matters.

Client Engagement and Business Development

The Head of Corporate & Commercial will drive business growth and client relationships:

• Originating new clients, mandates, and revenue opportunities.
• Developing and maintaining relationships with senior client stakeholders.
• Maintaining a qualified opportunity pipeline for the Practice.
• Leading strategic proposals, tenders, pitches, and client meetings.
• Identifying cross-selling opportunities across Wasf's other practices and solutions.

Financial and Commercial Management

This role includes significant financial and commercial oversight:

• Owning the Practice's annual revenue and profitability targets.
• Monitoring matter economics, pricing, realization, and collections.
• Ensuring matters are appropriately scoped and commercially viable.
• Maintaining disciplined resourcing in line with revenue and workload.

Qualifications and Experience

Candidates should meet the following criteria:

• Bachelor's degree in Law from a recognized university.
• Minimum of 10 years of relevant legal experience, with substantial corporate and commercial expertise.
• Demonstrated experience leading sophisticated transactions and commercial matters.
• Strong experience in contract drafting and negotiation.
• Strong understanding of Saudi corporate, commercial, and investment laws.
• Experience managing lawyers and supervising complex legal matters.
• Proven ability to develop clients and originate business.
• Strong commercial and financial awareness.
• Excellent Arabic and English drafting and communication skills.
• Ability to engage effectively with boards, executives, investors, and senior client stakeholders.
