Legal Specialist Role Overview

RAWAJ is seeking an experienced Legal Specialist to join its team in Riyadh, Saudi Arabia. This full-time role is central to providing comprehensive internal legal support, focusing on commercial contracts, regulatory compliance, legal risk management, and corporate governance. The specialist will play a key role in supporting the company's business growth while actively minimizing legal exposure across its diverse operations.

Key Responsibilities

• Review, draft, and negotiate a variety of commercial agreements, including customer contracts, framework agreements, vendor agreements, distributor and reseller agreements, NDAs, partnership agreements, service and implementation contracts, and government procurement contracts.
• Analyze key contractual provisions such as liability limitations, indemnities, payment terms, intellectual property rights, termination rights, exclusivity, and non-circumvention clauses.
• Assess legal risks associated with project delivery, Service Level Agreement (SLA) obligations, penalties, liquidated damages, vendor pass-through obligations, and implementation requirements.
• Prepare written legal risk assessments for major and high-value contracts to inform decision-making.
• Develop and maintain standard contract templates, clause libraries, and contract approval workflows to ensure consistency and efficiency.
• Ensure proper contract documentation, version control, approval processes, and archiving practices are followed.
• Provide legal support to the CEO, CFO, and CTO in negotiations, dispute resolution, settlement agreements, and high-value commercial transactions.
• Advise management on commercial risk structuring and partner negotiations.
• Support compliance with relevant regulations, including Saudi Companies Law, Personal Data Protection Law (PDPL), National Cybersecurity Authority (NCA) requirements, government procurement regulations, and anti-corruption and anti-bribery regulations.
• Coordinate with external law firms on litigation, arbitration, regulatory matters, and other specialized legal issues.
• Act as the internal point of contact for external legal counsel and manage legal matters effectively before escalation.

Qualifications and Experience

• A minimum of 5 to 10 years of relevant legal experience.
• Experience in one or more of the following sectors is preferred: Information Technology, Telecommunications, System Integration, Consulting, or Technology Distribution.
