Tamara is seeking a Senior Board Affairs Specialist to join its team in Riyadh, KSA. This full-time role is central to supporting the company's corporate governance and board engagement efforts through precise coordination and documentation.

Role Overview

Reporting to the Head of Governance, the Senior Board Affairs Specialist acts as a crucial link between the CEO Office, Legal, Finance, and Governance teams. The specialist ensures the smooth execution of board and committee operations while maintaining the company’s governance standards. This position involves contributing to the preparation of board and committee materials, tracking key decisions, and facilitating timely communication with leadership and external stakeholders, including directors and regulatory bodies.

Key Responsibilities

  • Maintain the governance calendar and board/committee pack timeline, coordinating inputs and versioning under the oversight of the Head of Governance.
  • Prepare board and committee materials, including agendas, decks, resolutions, and supporting papers, and coordinate the circulation and tracking of approvals/signatures for board and shareholder resolutions.
  • Draft meeting minutes that accurately capture decisions and action items; maintain decision logs and action trackers, including following up with owners and escalating overdue items as necessary.
  • Coordinate meeting logistics, both virtual and physical, and manage day-to-day board communications in adherence to governance protocols.
  • Maintain comprehensive governance records and registers, such as board/committee composition, appointments, terms, declarations, and key disclosures, ensuring all information is current and audit-ready.
  • Manage a secure archive of board materials and implement document control discipline, encompassing templates, versioning, access controls, and retention policies, utilizing board portals/repositories where applicable.
  • Coordinate with external directors and legal counsel regarding scheduling, document circulation, and meeting-related requests as required.

Qualifications and Experience

  • A minimum of 5 to 10 years of relevant experience in board affairs, corporate governance, or a similar coordination role.
  • Demonstrated ability to manage complex coordination and documentation tasks with precision.
  • Strong organizational skills and meticulous attention to detail.
  • Excellent communication and interpersonal skills for effective interaction with diverse stakeholders.

Work Environment and Reporting

This full-time position is based in Riyadh, KSA. The Senior Board Affairs Specialist will report directly to the Head of Governance and collaborate closely with various internal departments, including the CEO Office, Legal, Finance, and Governance teams, to ensure seamless operations and adherence to governance standards.
