The Role of Senior Legal Counsel

Zutari is seeking a Senior Legal Counsel to provide expert legal and commercial advisory services in Riyadh, Saudi Arabia. This full-time role involves ensuring legal compliance, mitigating contractual and operational risks, and protecting the organization's interests throughout the project and commercial lifecycle. The Senior Legal Counsel acts as a trusted legal advisor to business leadership, supporting contract negotiations, claims management, dispute resolution, debt recovery, governance, and regulatory compliance within Zutari’s Middle East region. This position is open to Saudi nationals only, in line with local Saudization regulations.

Key Responsibilities

• Review, draft, negotiate, and finalize commercial agreements, including consultancy, sub-consultancy, joint venture, non-disclosure, and service agreements.
• Advise stakeholders on contractual obligations, liabilities, and risk exposure, developing legally compliant contracting solutions.
• Identify legal, regulatory, and commercial risks, providing practical solutions to reduce organizational exposure and supporting enterprise risk management.
• Manage contractual claims and disputes, offering strategic legal advice for avoidance and resolution, and liaising with external counsel when necessary.
• Ensure compliance with Saudi Arabian legal and regulatory requirements, international laws, corporate governance, and internal policies.
• Serve as the primary legal advisor to business leaders and project teams, building relationships with various departments.
• Support the collection and recovery of outstanding debt, reviewing contractual rights and assisting in negotiations.
• Maintain accurate records of contracts, disputes, and legal opinions, and contribute to legal policies and knowledge sharing.

Qualifications and Experience

• 5-10 years of relevant legal experience.
• Demonstrated in-depth legal expertise and commercial judgment in complex matters.
• Ability to balance legal risk with business objectives to enable sustainable growth and project execution.
• Strong understanding of legal and regulatory developments affecting the business.

Work Environment

The Senior Legal Counsel will operate within a collaborative environment, working with diverse teams across Business Development, Finance, Procurement, Risk Management, Project Management, and Executive Leadership. The role involves supporting teams in delivering sustainable impact at scale.
