About the Opportunity
Michael Page is seeking a highly experienced VP of Legal Affairs & Board Secretary for a full-time position in Riyadh. This pivotal role is with a well-established and rapidly growing financial services organization operating within a highly regulated environment. The client is focused on building best-in-class legal and corporate governance capabilities to support its ambitious growth plans.
Strategic Leadership in Legal and Governance
The VP of Legal Affairs & Board Secretary will be responsible for overseeing all legal strategies and ensuring comprehensive compliance across the organization. This position requires a deep understanding of legal frameworks and the ability to effectively guide the company through its complex legal and regulatory obligations within the financial services industry. The role involves playing a key part in the organization's governance evolution.
Key Responsibilities
- Lead the Legal Affairs function, providing strategic legal advice on corporate, regulatory, and governance matters.
- Partner closely with the CEO, Board of Directors, and senior executives on governance, compliance, and corporate strategy initiatives.
- Design and implement robust governance frameworks, including the establishment of new Board and Executive Committees, committee charters, mandates, and operating models.
- Ensure ongoing compliance with regulatory expectations and corporate governance standards within a highly regulated financial services environment.
- Lead the establishment of new governance structures, such as the Risk & Credit Committee and Executive Committee.
Board Secretary Functions
As Board Secretary, the individual will manage all aspects of Board and Committee meetings. This includes preparing agendas, drafting minutes, overseeing resolutions, and maintaining comprehensive governance documentation. This function is central to supporting the strong governance agenda of the organization.
Required Qualifications and Experience
- A minimum of 10 years of experience in a relevant legal role, preferably within the financial services industry.
- Demonstrated strong understanding of legal frameworks and regulatory requirements.
- Proven ability to guide an organization in its legal and regulatory obligations.
- Experience in corporate governance and establishing governance structures is essential.
