Project Legal Director

About the Role

International Water Distribution Co. (Tawzea) is seeking a Project Legal Director to join its team in Makkah, with responsibilities covering projects in both Jeddah and Makkah. This full-time role involves leading all legal and contractual aspects throughout the project lifecycle, from initial tendering to operations and compliance. The director will be responsible for protecting the company's interests and ensuring effective risk management across various projects.

Role Purpose

The primary purpose of this position is to manage and oversee all legal and contractual matters for projects, from the tendering and negotiation phases through financial close, implementation, and ongoing operations. This includes ensuring regulatory compliance and contractual adherence while strategically mitigating legal risks to safeguard the company's interests.

Key Responsibilities

• Review Requests for Quotation (RfQs), Requests for Proposals (RfPs), project agreements, legal risks, qualifications, and contractual deviations during tendering and development phases.
• Draft and negotiate Non-Disclosure Agreements (NDAs), Memoranda of Understanding (MoUs), consortium agreements, Joint Venture (JV) agreements, shareholder agreements, and Special Purpose Vehicle (SPV) agreements.
• Lead legal negotiations for Public-Private Partnership (PPP), Build-Operate-Transfer/Build-Own-Operate-Transfer (BOT/BOOT), concession, Engineering, Procurement, and Construction (EPC), Operations & Maintenance (O&M), and financing-related agreements.
• Provide legal support for contract administration, variations, claims, disputes, contractual amendments, and risk mitigation during project implementation.
• Ensure regulatory compliance, fulfillment of contractual obligations, adherence to corporate governance standards, and securing required approvals throughout the project lifecycle.
• Manage external legal advisors and offer strategic legal advice to management and project teams.

Qualifications and Experience

• Bachelor's degree in Law is required; an ** is considered advantageous.
• Qualified legal professional with 12–15 years of relevant experience.
• Demonstrated experience in infrastructure projects, covering all stages from tendering through implementation and operations.
• Experience in water, wastewater, utilities, and Saudi PPP projects is preferred.

Location and Work Type

This is a full-time position based in Makkah, Saudi Arabia, with project involvement in both Jeddah and Makkah. The role requires a commitment to managing legal aspects across various project sites within these regions.
