Corporate Governance Specialist

About the Role

SALIC - Saudi Agricultural and Livestock Investment Company is seeking a Corporate Governance Specialist to join its team in Riyadh. This full-time role involves contributing to the development and management of SALIC’s corporate governance framework, ensuring its effective implementation and adherence to regulations. The specialist will support transparency, accountability, and ethical decision-making across all business units and functions.

Role Purpose

The primary purpose of this role is to manage and develop SALIC’s corporate governance framework, including its manual, guidelines, policies, and tools. The specialist will ensure that an effective governance mechanism is in place and consistently applied across all business units and functions, aligning with local statutory regulations and SALIC’s by-laws.

Key Responsibilities

• Participate in the development of SALIC’s corporate governance framework, manual, and associated guidelines and policies.
• Ensure proper implementation, efficiency, and alignment of governance practices with SALIC’s strategic objectives and applicable regulations.
• Support the management of governance-related strategic initiatives and requirements.
• Coordinate with SALIC’s leadership to develop and continuously update the Delegation of Authority (DoA) matrix to clarify authorities across all business units and functions.
• Lead the development and maintenance of internal policies to enable consistent operations and ensure alignment with leading practices.
• Recommend changes to SALIC’s corporate governance framework to ensure adherence to best-in-class corporate governance practices and address identified challenges.
• Develop comprehensive periodic reports to support decision-making processes for top management and the Board of Directors.
• Ensure that policies are streamlined and consistent across SALIC.
• Review the governance activities of portfolio companies and ensure their adherence to governance and corporate guidelines, policies, and procedures.
