Governance Director

About the Role

Progressive Global Energy Limited is seeking a Governance Director to join their team in Riyadh. This full-time position involves strengthening corporate governance, compliance, and accountability across the organization. The role requires a Saudi National with extensive experience in corporate governance within the energy or oil & gas sector.

Key Responsibilities

• Lead the development, implementation, and continuous improvement of the corporate governance framework.
• Ensure the Delegation of Authority (DoA) and authority matrix are aligned with business objectives, regulatory requirements, and governance best practices.
• Advise and support the Board and its committees on governance, compliance, and fiduciary matters.
• Develop, communicate, and maintain governance policies and procedures across the organization.
• Review and enhance internal policies, procedures, manuals, charters, and processes to ensure alignment with governance standards and constitutional documents.
• Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.

Candidate Requirements

• Must be a Saudi National.
• Proven experience of 13+ years in corporate governance, board affairs, compliance, or company secretarial functions.
• Must have corporate governance experience within a large business operating in the energy or oil & gas sector in KSA.
• Strong understanding of governance frameworks, regulatory compliance, and risk management principles.

Experience and Compensation

This role requires a minimum of 10 years of relevant experience. A highly competitive package will be offered to the successful candidate.
