About the Role

Talents Sea is seeking a highly experienced and dedicated Governance Manager to join our team in Riyadh, Saudi Arabia. This full-time position is critical for ensuring robust corporate governance practices across the organization. We are looking for a seasoned professional with over 10 years of overall experience, including a minimum of 5 years specifically in corporate governance and compliance.

Role Overview

The Governance Manager will be responsible for developing, implementing, and overseeing the organization's corporate governance framework. This role involves assessing and enhancing existing practices, ensuring compliance with regulatory requirements, and fostering a culture of transparency and accountability. The successful candidate will provide expert guidance to senior management and the Board of Directors on all governance-related matters.

Key Responsibilities

  • Develop and implement the organization's corporate governance strategy in alignment with business objectives.
  • Assess and enhance governance practices by identifying improvement opportunities and implementing action plans.
  • Ensure compliance with applicable laws, regulations, and internal governance policies.
  • Oversee governance risk management while promoting transparency and accountability across the organization.
  • Prepare and present periodic governance reports to executive management and the Board of Directors.
  • Provide expert advice and support to senior management on corporate governance matters.
  • Manage relationships with key stakeholders and foster a strong governance culture throughout the organization.
  • Stay up to date with the latest governance regulations, trends, and best practices.
  • Perform any other duties assigned by the direct manager.

Qualifications and Experience

  • Bachelor's degree in Law, Business Administration, Finance, or a related field.
  • Minimum of 5 years of experience in Corporate Governance or Compliance.
  • Experience with the Saudi Corporate Governance Regulations and/or the Capital Market Authority (CMA) Governance Regulations is highly preferred.

Required Skills

  • Strong knowledge of corporate governance frameworks, regulations, and compliance requirements.
  • Excellent analytical, reporting, and problem-solving skills.
  • Strong communication and presentation skills, with the ability to engage effectively with senior management and Boards of Directors.
  • Proficiency in Microsoft Office applications.
