Role Overview

Saleh Abdulaziz Al Rashed & Sons is seeking a Saudi Governance Specialist to join our team in Riyadh, Saudi Arabia. This full-time role is central to supporting the Company's governance framework, ensuring compliance with Capital Market Authority (CMA) regulations, and providing comprehensive administration for the Board of Directors. The specialist will play a key role in maintaining effective governance practices and coordinating with various internal stakeholders.

Key Responsibilities

  • Prepare, draft, review, and coordinate the submission of CMA disclosure forms, regulatory announcements, and ongoing disclosure obligations in coordination with relevant departments, ensuring full compliance with CMA and Tadawul requirements.
  • Support the implementation and continuous improvement of the Company's Corporate Governance Framework, policies, and governance practices.
  • Coordinate Board and Committee meetings, including agendas, minutes, and resolutions.
  • Maintain governance policies, Board charters, Delegation of Authority documentation, and other essential governance records.
  • Monitor compliance with Corporate Governance Regulations, Companies Law, CMA requirements, and Tadawul Listing Rules.
  • Track the implementation of Board resolutions and governance action plans.
  • Coordinate with Internal Audit, Risk, Compliance, and Legal departments on various governance initiatives.
  • Prepare governance reports, Board reports, and governance dashboards for both management and the Board.
  • Ensure the confidentiality and proper handling of sensitive corporate information.

Governance Framework and Compliance Oversight

This position is critical in upholding the Company's commitment to robust corporate governance. The specialist will actively contribute to the continuous enhancement of the Corporate Governance Framework and related policies. A core aspect involves diligent monitoring of adherence to Corporate Governance Regulations, Companies Law, CMA requirements, and Tadawul Listing Rules, ensuring all regulatory obligations are met effectively and proactively.

Board Administration and Internal Coordination

The Governance Specialist will manage the administrative aspects of Board and Committee operations, including the meticulous coordination of meetings, preparation of agendas, drafting of minutes, and tracking of resolutions. This role also requires effective collaboration with key internal departments such as Internal Audit, Risk, Compliance, and Legal to drive governance initiatives and ensure integrated compliance efforts across the organization.

Candidate Requirements

We are seeking a Saudi national with 5 to 10 years of relevant experience in governance, compliance, or a related field. The ideal candidate will demonstrate a strong understanding of corporate governance principles and regulatory frameworks, coupled with a proven ability to handle sensitive corporate information with the utmost confidentiality and discretion.
