About the Role

Dan - PIF Company is seeking a professional and detail-oriented Board Secretary to support its Board of Directors and committees. This full-time position, based in Riyadh, Saudi Arabia, is essential for ensuring smooth, compliant, and well-structured board operations. The Board Secretary will manage all secretarial activities, focusing on effective coordination, accurate documentation, and adherence to corporate governance practices. This role requires an individual with a strong understanding of governance principles and the ability to work effectively with senior executives and board members.

Key Responsibilities

  • Prepare and accurately document minutes for Board and Committee meetings, maintaining confidentiality.
  • Organize and maintain official board records, reports, and supporting documentation.
  • Distribute meeting agendas, reports, and relevant materials to board members in a timely manner.
  • Ensure compliance with approved governance procedures and board charters.
  • Coordinate the annual board and committee meeting calendar in alignment with governance standards.
  • Share draft minutes with members for review and feedback before final approval.
  • Act as a coordination point between board members and committees, providing necessary support.
  • Follow up on board decisions and prepare periodic progress reports on their implementation status.
  • Support knowledge transfer and guide junior staff as required.

Qualifications and Requirements

  • Bachelor's degree in Business Administration, Law, Corporate Governance, Social Sciences, or a related field.
  • Minimum of 4 years of experience in governance, board secretariat, compliance, or similar roles.
  • Strong understanding of board and committee processes.
  • High level of professionalism and discretion.
  • Excellent communication skills in both Arabic and English.
