Legal Director

About the Role

Selected Recruitment is seeking a Legal Director to join a major Saudi infrastructure and logistics group. This full-time position is based in Jeddah or Makkah, Makkah region. The role is a senior individual contributor position, reporting directly to the CFO, with no direct reports.

Role Purpose and Context

The Legal Director will be responsible for the corporate legal and governance agenda across the group and its subsidiaries. This role involves working alongside a wider legal team and the Board Secretary, focusing on strategic influence at the Board level rather than departmental management.

Key Responsibilities

• Design, implement, and maintain the group-wide corporate governance framework, ensuring alignment with Saudi regulatory requirements and international best practices.
• Oversee Board and Committee charters, delegations of authority, governance policies, and corporate authorities, including across subsidiaries and joint ventures.
• Provide strategic legal advice on corporate structuring, shareholder arrangements, joint ventures, concessions, and subsidiary entities.
• Manage legal workstreams for M&A, investments, business development, and international expansion, coordinating internal and external advisors.
• Ensure statutory compliance, corporate filings, regulatory submissions, and maintenance of key corporate records.
• Serve as a trusted counsel to the CFO, CEO, and Board on legal, governance, and regulatory matters, including the escalation of material risks.
• Partner with the Board Secretary on the Board and Committee cycle, supporting documentation and resolutions, without owning the Secretariat function.

Qualifications and Experience

• A minimum of 10 years of relevant professional experience.
• Demonstrated expertise in corporate legal and governance matters.
• Experience working within a major infrastructure and logistics group is preferred.

Work Environment

This role operates within a dynamic group headquartered in Jeddah, with the option to be based in Jeddah or Makkah. The position requires a professional who can operate effectively as a senior individual contributor within a complex organizational structure.
