About Kidana
Kidana is seeking a Specialist Board Affairs to join their team in Makkah. This full-time role is essential for providing operational and administrative support to the Board, ensuring smooth governance processes.
Role Overview
The Specialist Board Affairs is responsible for providing operational expertise and administrative support to the Board, managing all board-related processes and documentation. This role ensures compliance with legal and regulatory requirements and supports effective corporate governance.
Key Responsibilities
- Facilitate board meetings, committee meetings, and related activities, including scheduling, logistics, and preparation of meeting materials.
- Draft meeting agendas, minutes, and resolutions, ensuring accuracy, completeness, and adherence to legal and regulatory requirements.
- Coordinate with board members, executive leadership, and committee chairs to gather and compile materials for board and committee meetings.
- Develop accurate and up-to-date records and documentation related to board activities, decisions, and resolutions.
- Assist in the development and implementation of board policies, procedures, and best practices to enhance governance effectiveness.
- Support the orientation of board members, ensuring they have the necessary information and resources to fulfil their duties and responsibilities.
- Ensure compliance with relevant laws, regulations, and reporting requirements, including those related to corporate governance, board operations, and shareholder communications.
- Assist in the preparation and filing of required legal and regulatory documents, such as annual reports, proxy statements, and disclosures.
- Implement processes and controls to safeguard confidential board information and ensure appropriate access and distribution.
- Support the management of onboarding and offboarding processes for board members, including orientation, logistics, and access to relevant information and systems.
Qualifications and Experience
- A minimum of 5 to 10 years of relevant experience is required for this role.
Work Environment
This is a full-time position based in Makkah, Saudi Arabia, within a professional corporate setting.
