About the Role

iHR (International Human Resources) is seeking a qualified candidate for the position of Governance Specialist (Board Secretariat). This full-time opportunity is based in Riyadh, Saudi Arabia, and is for one of our esteemed clients operating within the Human Resources sector. The role is central to upholding robust corporate governance standards and supporting the strategic functions of the Board.

Role Overview

The Governance Specialist will play a crucial role in implementing corporate governance best practices. This involves providing comprehensive support to the Board of Directors and its various committees, ensuring strict compliance with all pertinent regulations and bylaws. The ultimate objective is to enhance the overall efficiency of Board operations and strengthen the institutional governance framework of the organization.

Key Responsibilities

  • Organize and manage meetings for the Board of Directors and its sub-committees.
  • Prepare meeting agendas and minutes, and diligently follow up on the implementation of decisions.
  • Monitor adherence to established governance policies, relevant regulations, and bylaws.
  • Develop and update governance policies and procedures in alignment with best practices.
  • Coordinate effectively with internal departments and relevant external parties regarding governance requirements.
  • Prepare periodic reports pertaining to governance and compliance matters.
  • Archive and meticulously document records and decisions of the Board of Directors in accordance with applicable regulations.

Qualifications

  • Bachelor's degree in Law.
  • A minimum of 5 years of experience in the field of Board of Directors governance.
  • Prior experience working with listed joint-stock companies is a mandatory requirement.
  • Strong knowledge of corporate governance regulations and the mandates of relevant regulatory bodies.

Essential Skills

  • High proficiency in preparing accurate meeting minutes.
  • Demonstrated ability in drafting clear and effective policies.
  • Expertise in managing official documents and records.
