About the Role

Rayne is expanding its presence in Saudi Arabia and is seeking experienced Corporate Lawyers for contract roles. This opportunity offers the chance to work on high-quality secondments within client organizations, acting as an extension of their in-house legal teams, with terms that consultants help define.

Role Context and Opportunity

As a consultant with Rayne, you will engage in varied secondments across different lengths, sectors, and disciplines, tailored to your preferences. The Rayne model is built on trust, transparency, and lasting relationships, providing ongoing support throughout your engagements.

Key Responsibilities

• Drafting, reviewing, and negotiating corporate and commercial agreements, including shareholder agreements, joint venture agreements, share purchase agreements, distribution and supply arrangements, and non-disclosure agreements.
• Leading or supporting Mergers & Acquisitions (M&A) transactions, due diligence processes, deal structuring, and post-completion matters.
• Providing advice on entity setup, licensing, and governance in accordance with Saudi company law.
• Guiding clients on foreign investment structuring and market entry strategies, including obtaining MISA licenses.
• Liaising with regulatory bodies such as the Capital Market Authority (CMA) or Saudi Central Bank (SAMA) as required.
• Managing commercial risk within contracts and supporting pre-litigation strategies.
• Assisting with board-level governance, internal policy development, and regulatory filings.
• Identifying and flagging legal risks proactively, offering practical and commercially sound solutions.
• Working effectively within fast-paced in-house legal teams.

Qualifications and Experience

• A minimum of 5 years of post-qualification experience (PQE), with flexibility based on background and specific secondment requirements.
• A strong understanding of Saudi corporate and commercial law, including Companies Law and foreign investment regulations.
• Experience gained in both private practice and in-house roles, preferably with multinational corporations, joint ventures, or within regulated sectors.
• Fluency in both English and Arabic.
• A pragmatic and adaptable approach, comfortable working independently or as part of a team.
• A consultant mindset, focused on partnering with the business to provide strategic advice.

Work Arrangement

This is a contract position based in Saudi Arabia. The nature of the secondments offers variety across different sectors and working environments.
