About the Role

Bawan Company is seeking a professional for the role of Governance Compliance and Regulatory Affairs Management. This full-time position is based in Riyadh, Saudi Arabia, and is critical for establishing and maintaining robust governance and compliance frameworks within the organization. The role requires a candidate with significant experience in managing regulatory adherence and fostering a strong compliance culture.

Corporate Governance and Compliance Framework

  • Establish a general framework and annual plan for corporate governance and compliance standards.
  • Submit periodic reports on compliance levels, maturity indicators, and controls effectiveness.
  • Review and update policies, processes, and procedures (PPP), along with compliance registers, to ensure adherence to CMA corporate governance requirements and other regulatory standards.
  • Develop processes and initiatives to ensure a strong governance culture within the company.
  • Ensure governance principles evolve with changing circumstances and are re-evaluated periodically.
  • Oversee all business operations related to compliance, including policies, investments, and procedures.

Regulatory Affairs and Reporting

  • Monitor and follow up on the implementation of all periodic statutory requirements, such as financial reports and the Capital Market Authority's Board of Directors report.
  • Organize and manage disclosures by preparing company announcements and ensuring they meet requirements before publishing on the Tadawul website.
  • Manage and update a database of regulations and instructions relevant to the company's business.
  • Review all legislation, regulations, and bylaws within the compliance register.
  • Coordinate with regulatory authorities regarding compliance matters and regulatory inquiries.
  • Monitor changes in applicable laws and regulations and ensure their implementation across the company.

Internal Controls and Audits

  • Perform periodic audits on company PPP as per an annual plan.
  • Design and monitor control systems to address violations of legal rules and internal policies.
  • Regularly assess the efficiency of control systems and recommend effective improvements.

Stakeholder Engagement and Team Leadership

  • Support the review of the Board-level committee structure and mandate, providing recommendations to improve effectiveness.
  • Engage with internal stakeholders, including Board members, management, and strategy groups, to ensure compliance and governance mechanisms reflect organizational and strategic priorities.
  • Lead employee training sessions on governance and compliance issues.
  • Supervise compliance officers and the team.

Experience Requirements

Candidates for this position are required to have 5-10 years of experience in governance, compliance, and regulatory affairs. The role demands a professional with a proven track record in developing and managing compliance frameworks and ensuring regulatory adherence within a corporate environment.
