About the Role

A Confidential Government entity in Riyadh is seeking a Head of Board & Committee Affairs. This full-time position requires 5-10 years of experience and serves as the primary liaison between the Board of Directors, its sub-committees, and Executive Management. The role is crucial for ensuring the efficient operation of the Board, upholding corporate governance standards, managing statutory compliance, and providing strategic administrative and advisory support to the Chairman and Board members.

Core Responsibilities

The Head of Board & Committee Affairs will oversee the comprehensive management of Board and Committee meetings, from scheduling and logistics to the preparation, review, and secure distribution of agendas, board packs, and presentations. This includes attending meetings, accurately drafting, finalizing, and archiving minutes and resolutions, and diligently tracking the execution of action items with Executive Management. The role also encompasses the organization and management of Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).

Corporate Governance and Compliance Oversight

A key aspect of this position involves ensuring adherence to all relevant legal, statutory, and regulatory requirements, including those set by the Ministry of Commerce and the Capital Market Authority. Responsibilities include developing, maintaining, and updating the Corporate Governance Manual, Board Charters, and Committee Terms of Reference (ToR). The role will also manage conflicts of interest, ensure proper disclosure by Board members, and facilitate the annual performance evaluation process for the Board and its Committees.

Stakeholder Engagement and Advisory

This role acts as the central point of contact and a trusted advisor for Board members on governance policies, procedures, and statutory obligations. It facilitates seamless communication between the Board of Directors and Executive Management, providing guidance on corporate governance best practices and emerging trends to ensure effective collaboration and decision-making.

Board Member Support and Development

The Head of Board & Committee Affairs is responsible for designing and implementing comprehensive induction and onboarding programs for new Board and Committee members. This includes arranging continuous training and development initiatives to keep members informed about industry trends and regulatory changes. The role also manages the remuneration and compensation processes for Board and Committee members in line with company policies.

Documentation and Record Management

Maintaining highly confidential and secure statutory books, registers, and official company records is a critical function. This includes ensuring the safe custody of the company seal and all official governance documents, upholding the integrity and security of vital corporate information.

Qualifications and Experience

Candidates should possess a Bachelor’s degree in Law, Business Administration, Finance, Corporate Governance, or a related field; a Master’s degree is preferred. A minimum of 5-10 years of experience in corporate governance, legal affairs, or a board secretariat role is required, with at least 3 years in a leadership or managerial capacity. Professional certification in Corporate Governance or Corporate Secretaryship (*, ICSA, CGI, or equivalent) is highly desirable.
