About the Board Committee Secretary & Governance Specialist Role

Albawani, a leading construction and contracting company in Saudi Arabia established in 1991, is seeking a Board Committee Secretary & Governance Specialist. Headquartered in Riyadh, Albawani operates across construction, infrastructure, engineering, water and power, and industrial services, delivering large-scale commercial, healthcare, educational, and government projects. This full-time position requires 5-10 years of experience and is based in Riyadh.

Role Purpose and Context

The Board Committee Secretary & Governance Specialist is responsible for providing comprehensive administrative and logistical support to the Board of Directors, its Committees, and the Group Executive Management team. This role is critical for ensuring the effective and efficient operation of the governance framework, allowing the Board to concentrate on strategic decision-making and oversight. By managing the planning, coordination, and documentation of all board and committee activities, the Specialist plays a key role in promoting corporate governance and compliance throughout the Albawani group.

Key Responsibilities

  • Serve as the primary liaison to the Board of Directors, offering extensive administrative support.
  • Manage the logistics of Board and committee meetings, including scheduling, agenda development, material compilation and distribution, and minute-taking and distribution.
  • Ensure the timely and accurate distribution of meeting materials to Board and committee members.
  • Coordinate with internal and external stakeholders to gather and prepare information for Board and committee meetings.
  • Maintain and manage the Board and committee meeting calendar, including any adjustments or special meetings.
  • Maintain comprehensive records of Board and committee meetings, documenting attendance, decisions, and action items.
  • Implement the onboarding program for new Board members, including orientation, introductions, and training on governance practices.
  • Coordinate and facilitate ongoing educational sessions and training for Board members on relevant governance topics, trends, and best practices.
  • Act as a primary point of contact for Board members, addressing inquiries and providing necessary support.
  • Maintain a repository of Board member information, including biographies, expertise, and committee assignments.
  • Assist in the development and implementation of governance policies, procedures, and best practices across the Albawani group.
  • Monitor compliance with regulatory standards, the Articles of Association, and the Board's Terms of Reference.
  • Maintain organized records of the organization's governance-related documents, including policies, charters, and other governance materials.
  • Ensure proper archiving and retention of Board and committee meeting minutes, resolutions, and other governance records.
  • Support the development and updating of governance-related policies, procedures, and frameworks.
  • Assist with the preparation of governance-related reports and presentations for leadership and other stakeholders.

Qualifications and Requirements

  • Bachelor's degree in Law or a governance and board-related diploma.
  • Extensive experience (5-10 years) in a board, corporate secretarial, or governance support role.
  • Strong understanding of corporate governance principles, frameworks, and leading practices.
  • Excellent organizational, administrative, and project management skills.
  • Proficiency in managing the logistics of Board and committee meetings.
  • Effective communication and interpersonal skills, with the ability to collaborate with diverse stakeholders.
  • Attention to detail and a commitment to accuracy and confidentiality.
  • Relevant professional certifications (*, Certified Corporate Governance Professional, Certified Administrative Professional) are preferred.
  • Proficiency in using governance-related software and tools (*, board management platforms, document management systems).
  • Ability to utilize collaboration and communication platforms (*, video conferencing, secure document sharing).
  • Strong skills in office productivity software (*, Microsoft Office, Google Workspace).
