About the Role
Rayne is seeking talented and commercially minded Commercial Lawyers to join its growing team in Saudi Arabia. This is an opportunity to work on flexible contract roles with embedded secondment opportunities directly within client organizations across Riyadh. You will function as an extension of their in-house legal teams, with the support of the Rayne team.

Key Responsibilities
- Drafting, reviewing, and negotiating a broad range of commercial agreements including Master Service Agreements (MSAs), framework agreements, services agreements, SaaS agreements, licensing agreements, distribution agreements, and supply contracts.
- Advising on corporate and governance matters, restructurings, joint ventures, and providing day-to-day in-house legal support.
- Supporting Vision 2030-aligned projects and strategic initiatives, working closely with business teams across sectors such as energy, infrastructure, real estate, and financial services.
- Advising on Saudi-specific regulatory and compliance requirements, including those set by the Ministry of Investment (MISA), Capital Market Authority (CMA), and Saudi Central Bank (SAMA) where relevant.
- Identifying and managing legal risk, flagging issues early, and delivering pragmatic, commercially minded solutions.
- Operating with confidence and agility in fast-paced, in-house environments.
Qualifications and Requirements
- A minimum of 5+ years of post-qualification experience (PQE), though this is flexible depending on experience and the specific secondment.
- Strong familiarity with Saudi commercial law, regulatory frameworks, and the contracting landscape.
- A background that spans both private practice and in-house legal experience.
- Adaptability, pragmatism, and the ability to work independently as well as collaboratively.
- A consultant mindset, with enjoyment for partnering with the business.
- Fluency in both English and Arabic is essential.
Required Skills
